BREAKING: A major US airline just went out of business overnight. 17,000 jobs gone. Millions of tickets voided. First major airline shutdown in America since 2001. And Wall Street saw it coming weeks ago... Here's what happened: At 2 a.m. ET this morning, Spirit Airlines posted a single statement on its website. "Spirit Airlines started an orderly wind-down of our operations, effective immediately." All flights cancelled. Customer service offline. 34 years of business, gone in one paragraph. Spirit's bright yellow planes are no longer flying anywhere. The airline filed Chapter 11 in November 2024. The first major US airline bankruptcy since 2011. A judge approved a reorganization plan in early 2025. By August 2025, Spirit was filing for bankruptcy again. Two filings in nine months. By the time of the second filing, the balance sheet was already broken. $8.1 billion in debt. $8.6 billion in assets. A 9.7% gap between what the company owned and what it owed. With jet fuel prices spiking from the Iran war, that gap was getting worse every week. Then this week the rescue talks started. The Trump administration put a $500 million bailout on the table. The terms were aggressive. In exchange for the cash, the federal government would have taken up to a 90% stake in the airline. The White House signed off. Then the bondholders did the math. They looked at the proposal and refused. If they accepted, their existing claims would get pushed below the government's new equity stake. They'd own a smaller slice of a company that still had to compete with United, Delta, American, and Southwest. If they refused, the airline died, the planes got sold off, and they got first claim on the liquidation proceeds. The math said no. So they said no. Equity holders got zeroed. Bondholders got first claim. Same crisis but two completely different outcomes. The difference was where you sat in the capital structure. Most retail investors don't think this way. They see a beaten-down stock and ask if it's cheap enough to buy. They don't ask who's senior to them in a liquidation. Institutions ask that question every time and then retail finds out the hard way. The investors who avoided Spirit weren't lucky. They had a system that filtered the trade out before it became a problem. That's exactly what Surmount was built for:
