Extrapolating this, the first SGB was issued in 2015, expecting 2.5% to 7% interest cost to the government. While 5Y bonds cost ~8% at that time. An "over-smart" bureaucrat thought SGBs were a masterstroke. Now, the govt is stuck with ₹1.12 lakh crore in liabilities. Guess who’s paying for it?

SEBI's Proposed Changes for SME IPOs and my initial thoughts on it: 1️⃣ Min Application Size (₹1L → ₹2L): Might not affect much as 1L or 2L becomes almost same for most, overall positive as more allocation means more conviction. 2️⃣ NII Allocation (Proportionate → Draw of Lots): Simplifies the process, more people can try luck but could frustrate larger investors seeking proportionate allotments. (bad for people like me, worst for people who have taken loan for ipos) no more guarantee returns, good for overall market, happy with this rule, more people can get allotments. 3️⃣ OFS Cap (No cap → 20% cap): Encourages fresh capital infusion but may deter promoters with higher dilution needs, in short run they ll anyway find a work around. 4️⃣ Min Allottees (50 → 200): Boosts liquidity and investor diversity. 5️⃣ Monitoring Agency (₹100 Cr+ → ₹20-50 Cr): Enhances fund utilization oversight, though it may increase compliance costs for smaller SMEs. 6️⃣ Phased Lock-In Release (3 years in one go → Phased release): Promotes gradual liquidity for promoters, aligning with market dynamics gets some confidence. 7️⃣ General Corporate Purpose (25% → 10% with ₹10 Cr cap): Encourages transparency and focused fund allocation, though it limits flexibility for SMEs with genuine diverse needs. 8️⃣ Related Party Transactions (Not applicable → Applicable): Strengthens governance standards but adds compliance burden for smaller SMEs 9️⃣ Shareholding Pattern Submission (Half-yearly → Quarterly): Improves transparency for investors but increases reporting costs for SMEs. 🔟 EBITDA Threshold (No threshold → ₹3 Cr EBITDA): Filters SMEs with strong financials but risks excluding promising early-stage ventures - Don't think this is good for very small companies, mostly everyone is EBITDA negative specifically high growth startups/companies, alternative to VC/PE this was a good option for them to raise funds, with Cash flow positive rule + this rule it becomes hard for them. Happy that SEBI is finally taking some good steps and atleast listening to community, expecting some relief in ESM also post this.
