The SEC's March 17, 2026 interpretive release (No. 33-11412) provides this clarity on federal securities laws for crypto: Most crypto assets aren't securities. It defines a token taxonomy: - Digital commodities (e.g., BTC, ETH, SOL – functional network tokens) - Digital collectibles (art, memes, in-game items) - Digital tools (membership/tickets) - Payment stablecoins (under GENIUS Act) - Digital securities (tokenized traditional securities) Non-security assets may temporarily fall under an "investment contract" (per Howey test) if sold with issuer promises of essential managerial efforts for buyer profits. The contract ends once efforts are fulfilled (or publicly abandoned). Guidance: - Free airdrops: Not securities (no money invested). - Protocol mining/staking (PoW/PoS): Administrative/ministerial; rewards aren't from others' efforts. - Wrapping: Simple 1:1 receipts aren't securities.
