Goodwill is not residual, it is as Lord McNaghten put it in IRC v Muller and Co's Margerine Limited AC 217 at 223, “the attractive force which brings in customers.” Built over years, destroyed in a letter and now finally priced by an Ugandan court. Amazing decision

The court didn’t take the full figure though saying 20 years was too aggressive, NBL owned the brand and Goodwill fluctuates with competition and market conditions. The court applied 5 years of projected continuity instead and the final award was UGX 1,117,687,085.
