Here's the simplest process for a $1M - $25M exit. Save if you’re thinking of selling your tech business: I talk with 20+ founders every week. Most try to sell directly to their competitors and cross fingers thinking they will get a good offer. It doesn't work that way. If you want to sell for 7 to 8 figures, here's what you should do instead: 1. Initial data pack: Prepare the data every serious buyer will ask for: - P&L: asset-level if you’re selling just one app, company-level if you’re selling your business. - Marketing & Product: user acquisition, retention, and monetization metrics. If there are any spikes or big drops, it’s useful to add a simple explanation 2. Valuation range, exit strategy, teaser: These steps are all correlated: to whom you want to (and realistically can) sell, your estimated valuation, and the investor memos to be made: strategic vs financial, industry vs non-industry, your unique MOATs: tech, distribution, etc 3. Buyers outreach: Your outreach should be to at least 50 high-fit companies. - Think of this as a funnel: the more qualified companies in the process, the more potential offers, the more negotiation power. · Existing: By working with @ehvmcapital, there is an existing pool of high-intent qualified buyers, which usually averages around ~70% of the target list of 50. If you are working solo, you might have 1-5 potential buyers from your circle (friends, friends who can make intros) · New: If there are no new companies outside of the existing circle, you are not being aggressive enough. For large corporations with M&A teams, the timeline for a review can take anywhere from 2 weeks to 2 months. 4. Buyers meetings / Q&A: In 99% of the cases, the interested buyers will want to have a communication stage to cover any questions 5. Interest confirmation and indicative offers: After all questions have been addressed, buyers confirm their interest in moving forward with the process and present a verbal or short written offer. - OFFER DEADLINE - If this step is not being included in your exit you are doing something wrong! 1-2 months into the process, if the process is run effectively, there is a deadline for all interested parties to present an offer on the table.
