Ignore my Working Capital advice at your own peril on 7-figure deals. Especially the 1-5M range. These are very competitive deals. They're valued at low SDE multiples that don't include WC. Your LOI should ask for inventory and address Work in Progress, but if you ask for cash and receivables for completed work, or just put vague open-ended language about a 'normalized working capital calculation' that will be done in the future post-LOI, your offer will not be selected when you're heads-up competing against someone bringing a simple cash-free, debt-free, normal inventory included offer to the table. That's what brokers and sellers want in SBA-world.

Main Street (let's call that under 1M EV you should NEVER expect WC). Middle Market (let's call that over 10M EV you should pretty much always expect WC). It's the 7-figure deals where all the debate lies. If it's an SBA deal, under 5M EV, yeah it's usually not-inclusive of WC except for inventory and WIP and done cash-free, debt-free, and if you come in on a 2M EV deal asking for a bunch of WC even if Sam tells you it's the right way to do it, you'll usually lose to a Buyer bringing their own and making a more simple offer and getting their SBA lender to do a LOC for WC. You can believe me or not but that's how it is.
