Bitget 的 Pre-IPO 是什么模式？合规性如何？ Pre-IPO 的科普文章我写了很多了，昨天写完 Binance 的以后，很多小伙伴留言让我我写写 Bitget 的，我看了一下 Bitget 的这个 Pre-IPO 的模式会更复杂一些。 先说本质，Bitget 的 Pre-IPO 项目最终的也是 SPV 镜像的一种（虽然有点不同），任何投资者都没有办法直接获得投资项目的股票或股票相关的权益，交易的仅仅是价格。 Bitget 的合作商是 Republic International Cayman（😂），同样 Bitget 也只是一个入口，而不是底层发行人本身，持有 preSPAX 代表的是发行人对持有人的债务工具，不是 SpaceX 的真实股份，没有投票权、分红权等股东权利。 这句话其实很有意思的，虽然是属于 SPV 镜像，但是和传统的 SPV 镜像还是有不同的，Republic 自己对 Mirror Token 的定义，其实更偏向“债”，不是“股”。 Republic 的 Mirror Token 本质上是 RepublicX LLC 发行的“无担保或有兑付票据”或“债务型证券”，回报公式锚定某家私营公司的普通股参考价格，但投资人并不直接持有该公司的股票，也不直接持有某个 SPV 的受益份额。 更关键的是，Republic 自己还写明，不只是投资者没有直接买股票，连 RepublicX 也不是在直接投资这些私营公司的股份。 说人话就是，虽然 Republic 在卖 SpaceX 的 Pre-IPO，但投资者买到的并不是 SpaceX 的真实股权，而是 RepublicX 发行的一张与 SpaceX 表现挂钩的债务型票据。就 Republic 目前公开披露来看，至少在这套结构里，不只是投资者没有直接买入 SpaceX 股票，连发行主体 RepublicX 也不是在直接投资 SpaceX 的股份。 更准确地说，Republic 的 Mirror Token 不是让投资人直接持有底层 SPV 或未上市公司股权，而是由 RepublicX 发行的一张结构化债务票据，由底层持有SpaceX资产的公司担保兑付。投资人真正持有的是对 RepublicX 的债权，兑付金额再根据参考公司未来的 IPO、并购等流动性事件和参考价格公式来计算。 这就说明，Republic 这套东西比传统 SPV 镜像还要再隔一层。传统 SPV 镜像，最起码还能讲成有个法律实体在下面持股，买的是这个法律实体映射出来的权益，但 Republic 这套公开口径里，用户拿到的是 RepublicX LLC 发行的债务型证券。 看到这里，其实我是觉得这套逻辑有点过于复杂了，以前我们解除的不论是 SPV 还是 SPV 镜像，无非都是通过中间机构买入了对应的标的，比如是 SpaceX ，然后将这部分买入的票据 Token 化以后卖出，这是常规流程，虽然存在合规性的问题，但确实大多数人都是这么玩的，明面上都会说自己是持有 SpaceX 的底层票据。 总的来说 Republic 卖的是“债务化 SPV 镜像”。 Republic 官网公开写明，相关证券活动里有 OpenDeal Broker LLC 这类 FINRA 和 SIPC 成员的注册经纪商参与。但 Republic 自己的二级市场条款也明确写了，Republic 的二级市场本身不是注册的 national securities exchange，也不是 Rule ATS 意义上的受监管交易系统。 所以在出售 Token 化的 Pre-IPO 证券这条业务线上，Republic 确实有一部分合规基础设施和牌照资源，但限制也是很多的，这也是为什么 Republic 会和 Bitget 这样的第三方平台合作的原因（听说还是独家合作🤣）。 说白了，投资者买的仍然是一个基于 SpaceX 价格波动的 Token 。但毕竟 Republic 也曾完成 Neuralink、Kraken、Stripe、Revolut 等知名企业的 Pre-IPO ，行业的名声和口碑会好一些。对于小伙伴们来说，如何选择还是要看自己的。本质上并没有太大的区别。
