Cal AI sold to MyFitnessPal for an undisclosed amount so i got curious and tried to figure out the deal here's what we know: - cal ai has $40m trailing revenue. ~$3m in reported operating profit (as of sep 2025) - estimated $770k/month on meta and tiktok ads - 30 employees pre-acquisition, 7 retained - bootstrapped, no outside investors - negotiations took about a year, deal closed december - from what the MFP ceo said publicly there's likely an earnout with a ~4-year retention period my guess for for the total deal is $100-120m. here's why: ~$3-5m EBITDA at a 10-15x multiple (typical for high-growth consumer) puts fair market value at $30-75m. However, MFP is in a position to meaningfully reduce CAC by supplementing CalAI’s paid channels with owned distribution via email, push, in-app placements, etc. MFP already owns much of the attention of that market. They are downsizing the team & have a clear cross-sell/upsell play. If MFP can keep revenue stable through that transition they can expand margins quickly. The founders also knew they had a good business, so MFP needed to give an offer compelling enough to walk away from a $40m ARR business. On structure: likely $60-75m upfront, $40-50m in earnout/retention over ~4 years would make sense. gives the founders enough to sell, but aligns them on future growth. And a guaranteed 8 figure exit with zero dilution at 19… I think most founders would take that deal.
