Where conflicts realistically show up: 1. Operational discretion @FINRA designs and operates EBS/BSS and sets the practical standards for what counts as “complete” or “accurate” submissions. Enforcement history shows that major firms have submitted inaccurate blue-sheet data for years due to coding or systems errors, often discovered only long after the fact and after the damage to ethical issuers and shareholders is done. That alone undermines the idea that the pipeline is self-verifying. 2. Data dependency The SEC’s ability to detect insider trading, layering, spoofing, front-running, cross-market schemes, etc. is only as good as the data FINRA collects and transforms. FINRA’s own priorities, resource constraints, or relationships with large members inevitably shape how aggressively issues are flagged or escalated upstream. Formally, everyone claims alignment around market integrity. Structurally, the SRO is gatekeeping data that can harm the same population that pays its dues and exerts soft power. What “commissioning” does and doesn’t fix: -By commissioning BSS, the SEC asserted control over requirements, fields, automation, analytics, and privacy posture so the system could better serve enforcement needs. But commissioning does not change who: -Writes and deploys the code, -Operates the cloud stack, or -Bears first-line responsibility when a “coding” or “systems” error distorts the historical record. So yes, the SEC can require logs, controls, and SLAs. But it still investigates using data that is produced and pre-processed by a supervised entity inside the same ecosystem it is supposed to police. In plain terms: The SEC writes the rules, but the suspects run the recorder. How to think about their software development and security: 1. If the software is built primarily inside FINRA, with or without vendors (e.g. AWS), then code ownership, change control, and infrastructure-as-code discipline sit under FINRA’s governance, not the SEC’s FISMA stack. The SEC’s leverage is contractual and supervisory, not operational. 2. If parts are outsourced to cloud or software vendors (e.g. AWS), those relationships sit inside FINRA’s contracts and architecture. That adds another layer where commercial incentives, pricing, and feature trade-offs interact with regulatory needs, largely invisible to the public and to FOIA requesters. From a security and systemic-risk perspective, the implication is simple and VERY uncomfortable: The evidentiary backbone of federal securities enforcement now runs through a multi-party SaaS pipeline that neither the public nor most litigants can independently inspect, audit, or verify without full CAT info. Finra is doing everything to stop themselves from doing their job and protect themselves from being exposed. Halted a settlement that would have exposed oversold sales they allowed to happen. Now they have to deliver trading data. Oh let's change the rules on that discovery... Meanwhile every auditor recommends holding data for 7 years... Corruption all around.
