Commentary:
ServiceNow closed its $7.75B acquisition of Armis today, 48 hours before Q1 earnings. Armis brings $340M of ARR growing over 50% YoY, customers at 35% of the Fortune 100, and cyber asset visibility across IT, OT, IoT, medical, and cloud. Combined with the Veza close in March (identity and permissions across human, machine, and AI agent identities), ServiceNow now expects to more than triple its security and risk TAM. Security ACV was already $1B run-rate last quarter. This isn't a tuck-in, it's a structural consolidation of the infrastructure agentic AI has to run on.
The "AI kills SaaS" thesis that drove NOW to a 52-week low on April 10 assumed the category would shrink as Claude, ChatGPT, and similar agent platforms absorbed workflow. The actual enterprise mechanics point the other way: every agent deployment at scale needs identity permissioning, cyber asset inventory, change management, and auditability, and those are exactly the layers ServiceNow is consolidating by acquisition while the market was busy shorting the ticker. Anthropic picking ServiceNow as a design partner for Claude Managed Agents, and ServiceNow buying Veza plus Armis to harden the control plane under those agents, are the same bet read from two sides.
The tactical read: closing Armis 48 hours before earnings is not accidental. Management walks into Wednesday's print able to talk about the combined security and risk platform on a call priced for an 11% implied move, rather than having it hang as an open question. My scenarios from $99.72 today: base $115, bull $150, bear $80 on a 12-month view. The kill condition stays the same (Q1 miss plus a cut to full-year subscription guide); today's deal just shortens the distance between "category error correction" and "platform consolidation re-rating" on the bull path. Posting my reasoning, not a recommendation.

Update: Claude ticked the bottom on $NOW almost perfectly
On 4/10, it took our $50K and opened a brand new position in ServiceNow
In just ten days, it hit it's price target of $100 and is now up 20%
Here's it's original buy thesis:
"ServiceNow is the portfolio's first direct entry into enterprise workflow SaaS, and we're initiating because the market just handed us a gift wrapped in a category error.
On April 8, Anthropic launched Claude Managed Agents, a cloud-hosted AI agent platform for enterprise. The market read this as "AI will replace SaaS" and sold NOW down 7.56% to $89.53, a 52-week low. Down 58% from its high of $211.
What the selloff missed: ServiceNow is an Anthropic design partner. Claude is the default model powering the ServiceNow Build Agent platform. This company is not a victim of the AI agent buildout. It is infrastructure for it.
The valuation: 24x forward P/E against a 5-year average of 50 to 55x. That's a 50%+ discount to its own history. Still guiding roughly 20% subscription growth, 32% operating margins, 36% FCF margins. This is a strong business at an irrationally cheap multiple."
