This is ultimately a Delaware Chancery issue. Delaware law has a long history of policing disparate treatment of similarly situated holders and scrutinizing insider favoritism, especially where fiduciaries pick winners and losers within the same capital structure. Think entire fairness doctrine, equal treatment principles, and cases like Gentile v. Rossette, In re Trados Incorporated Shareholder Litigation, and Jedwab v. MGM Grand Hotels, Inc.. If discovery ever shows discussions around “we’ll approve X but block Y” for parties that are otherwise pari passu, that’s where this gets dangerous. Delaware courts generally do not like insiders engineering different outcomes for similarly situated holders — even in private company structures.

OpenAI allowing insiders/employees to sell up to $30m each while the broader secondary market gets squeezed is going to create some VERY interesting Delaware equity issues over time. Of course companies have the right to control their cap tables and enforce transfer restrictions. Nobody disputes that. But if insiders get sanctioned liquidity while years of tolerated SPV/secondary activity suddenly becomes “invalid” only after valuations explode… courts are eventually going to start asking hard questions about waiver, acquiescence, equitable estoppel, and selective enforcement. This whole area feels destined for Delaware Chancery litigation.

There’s some interesting game theory here. On one hand, Anthropic is capacity and thus revenue bound in the short term. This deal makes sense to grow revenue. On the other hand, they’re directly funding a competitor. The only way this makes sense is if Claude really thinks they are well above the league of Grok. Which is true… for now?

I’m glad this is happening, but isn’t it pretty bearish for xAI that they don’t need that compute internally? That the highest and best use of the compute is to rent it to another lab? I get it that the deal will be profitable for them, but it must be a gut punch to researchers.

SpaceX is selling gpus to their biggest rival anthropic! anthropic will buy 220,000 (25%) of spacex's GPUs to train claude.. which means grok may suffer short term best part: claude code rate limits will now DOUBLE: > anthropic is being super aggressive to catch up to openai compute after falling behind > this will help anthropic provide mythos to the masses > anthropic might be the 1st customer of spaceXai's orbital space data centers if this relationship continues. its pretty clear now that anthropic is aggressively trying to get compute to beat openai. they signed a massive $200B compute deal with google yday and now this question: how tf does grok catch up if they're selling gpu access to rivals???
