@lex_node Tho @lex_node I will say that the SEC calls out whitepapers as something that purchasers can rely on, so there's a risk that even if you raise without a deck that you'd still be making some promises somewhere............. so no deck and no whitepaper, lmao

Working my way through the new SEC and CFTC interpretive guidance and I'm loving footnote 96. Why? In many ways FN96 explains the core approach: earlier in the guidance we are told that tokens whose value comes from functionality and supply/demand rather than essential managerial efforts of a promoter are not securities. But how do you define functionality and a lack of managerial efforts (i.e. decentralization) post ICO...? Not by some technocratic general standard! But rather by the actual promises of the original promoters (and whether they've been satisfied or otherwise extinguished). A very Hayekian approach that avoids regulatory hubris and metaphysical wrangling over the nature of "functionality" or "decentralization." Well done.

One question that we need to get clarity on (and I plan to ask the commission) is whether private round instruments, sold before the token goes live, amount to investment contracts or some other security or none at all. If all that’s being sold is a prepaid commodity forward contract, then there should be no issue in secondary markets when the token goes live. But if these instruments are found to be securities, then issuers will need to be careful to limit their disclosures to investors to only getting the token up to and through a public launch so that the promises fall off when the token goes live, and the token can trade freely in public secondary markets with no investment contract attached.
