Great research covering the latest developments across the ownership space. The biggest challenge we need to solve collectively is attracting fresh capital into ownership vehicles by creating frameworks that deliver venture-grade protections to everyone. That means building robust systems that work for early-stage companies, later-stage companies with existing private market demand, and a wide range of use cases in between. Creating a flexible yet rock-solid structure is the core goal of Crafts. After hundreds of conversations with VCs, liquid funds, syndicates, LPs, angels, and institutional capital allocators, we are aiming for nothing less than setting the standard for how retail investors access private markets. The result is our Stakeholder Token Standard, designed by former Solana General Counsel @ryonnixon V2 will be released very soon. Craft Mode.

One of the hardest questions in crypto is ownership. @craftsdev, part of @Arcium ecosystem, is building the Stakeholder Token Standard (STS) around a specific onchain capital formation challenge: - retail wants exposure to real startup upside. - Founders need clean cap tables. - Companies need a structure that works across legal, fundraising, and exit processes. - And tokens still need to make sense in open markets. STS is built around these constraints. Here’s how it works: (that’s my understanding based on the docs) ➝ STS doesn’t try to make the token itself a share of the company. The company still operates like a normal startup. Founders run the business, hire the team, own the roadmap, and can still raise from angels or VCs. ➝ Next to the company, STS adds a separate legal vehicle: a DAO LLC / SPV. This SPV holds a SAFE (Simple Agreement for Future Equity), giving token holders venture-grade protections typically reserved for private investors. ➝ The SPV becomes the clean interface between the startup and token holders. Instead of having thousands of token holders sitting directly around the company, the startup only deals with one legal counterparty. That keeps the cap table readable for founders, investors, and future buyers. ➝ The token sits above the SPV, not above the startup directly. It doesn’t give direct ownership in the company. It gives governance over the legal vehicle that holds the claim. Token holders decide how the SPV behaves: how funding moves, how treasury gets used, how major legal decisions are handled, and what happens around an exit. ➝ Founders don’t lose operating control. The DAO doesn’t run the company day to day. The company still has its own team, roadmap, strategy, and execution. ➝ The DAO acts like a programmable investor through a Constitutional Governance Framework. It can influence funding, treasury usage, legal decisions, and exit handling, but it doesn’t become the operator of the business. ➝ A DAO operator turns token holder votes into real-world execution. Token holders vote on-chain. Then the DAO operator executes the SPV’s decisions in the real world: signing documents, exercising the SPV’s rights, or implementing approved changes. ➝ The token supply starts inside a vault contract. Allocations, vesting, cliffs, and unlock conditions are visible and enforced on-chain. So the market doesn’t need to trust private spreadsheets or vague tokenomics promises. ➝ The raise can also use more transparent allocation rules. STS can balance capital committed, wallet history, and social activity instead of making the whole thing a pure whale game. ➝ Funds don’t go straight to the company all at once. Participants fund the DAO treasury. Then the startup receives capital over time through a monthly allowance. ➝ If the company has an exit, the SPV has to be dealt with through the rights it holds. Proceeds or assets flow back to the DAO treasury. Token holders then decide how to use that value: buybacks, ecosystem growth, reinvestment, reserves, or other approved uses. ➝ The token doesn’t create automatic dividends or direct equity rights. But it gives governance over the entity that owns the economic claim.

Congratulations to our portfolio company @multisig for its fundraise. We backed @SimkinStepan & @deni_ersht from the early days. Since then, they have shown up as true leaders in the Solana DeFi ecosystem, even mentoring other founders during their journey.
