Before there is a network token, there is an ancillary asset. For nearly a decade, the central legal question for every crypto founder in the United States has been the same: is this token a security? The answer determines everything: regulatory jurisdiction, disclosure obligations, listing eligibility, and personal liability exposure. The Howey Test, born from a 1946 Florida citrus grove dispute, was the only framework available. It had no mechanism for recognizing that founder dependence is transitional. The CLARITY Act does. “Before there are new factories, data centres or public companies, there is research.” Discussion around a potential investment super-cycle has largely focused on where capital will be deployed. AI infrastructure, energy, manufacturing capacity, and defence spending are all attracting significant attention. Less attention is being paid to the research that makes those investments possible in the first place. A lot of breakthrough frontier tech dies in the process from lab to market. By the time a frontier tech project spins out of a university lab, its team has usually spent years scrounging for compute and negotiating IP to bring their research to market. Many never reach this stage. Pre-incorporation is when critical resources are most needed and funding is scarcest. But corporate funding comes with strings attached, federal grants are limited and dwindling, and VCs cannot invest before a company incorporates.
