A crazy tax idea for Elon Musk. He could become the biggest OZ investor in history. The IPO is the trigger. SpaceX goes public June 12 under the ticker SPCX and the valuation might go to $2 trillion. The largest IPO ever. Insider lockup runs 180 days. It expires around December 15. The day it ends, insiders can sell. Every share sold throws off a capital gain. For Elon, holding billions in SpaceX paper, the gain is staggering. Under the new Opportunity Zone rules that take effect January 1, 2027, any capital gain rolled into a Qualified Opportunity Fund within 180 days of the sale earns a five-year tax deferral. Sell in late December 2026. Invest in early 2027. The tax bill is not due until 2032. If the QOF investment is held for ten years, the entire appreciation comes out tax-free. No capital gains. No depreciation recapture. Zero. But Elon isn't going to suddenly start investing in apartments or hotels in low income areas. He is going to remain obsessed with investing in his core businesses. Good news. The town of Starbase, Texas sits inside an Opportunity Zone census tract. Grimes County, where Musk is building a $55 billion semiconductor fab called Terafab, has three OZ tracts of its own. Elon could sell SPCX shares after lockup. Roll the gain into his own Qualified Opportunity Fund. Use that fund to build infrastructure at Starbase or finance the Terafab site. Then lease the asset back to the public company. SpaceX pays the rent. The rent is deductible to SpaceX. The depreciation flows to Elon and offsets his other income for a decade. Then he sells the QOF interest in 2037. No tax on the appreciation. No recapture on the depreciation. The original gain that funded it all was deferred to 2032. The IPO funds the infrastructure. The infrastructure runs the company. The taxpayer pays nothing for ten years and almost nothing forever. This is the crazy idea. The mechanics are real. The zones are real. The IPO is real. I am glad to advise his tax team. 🤠

SpaceX shareholders approved a 5-for-1 common stock split, with the company adjusting its estimated fair value per share to roughly $105 from about $527, according to Bloomberg. $SPCX is set to IPO on Friday, June 12.

In recent months, Uber and its executives have taken direct and indirect shots at its robotaxi partner Waymo, warning against autonomous vehicle operators trying to scale on their own while also criticizing Waymo's deployment strategy and technology, with one executive sharing a video on X of a "scary Waymo moment." Opinion: Waymo should really just stop relying on Uber and take rides from their own app. It would give Google more control. So at first Cybercab was going to take Tesla to multi trillion dollar valuation and then Optimus (as Elon noted a few times) would have taken Tesla valuation to high that the next 5 companies would add up to be smaller than Tesla. Now, it's like ... well "ehh.. you know Tesla is like okay just so so .. blaaahhh no margin. burrrr"

If @Tesla & @SpaceX merge, there will be a very intense shareholder vote to get this approved Here's my 2 cents & how I'm voting. Yes. Whatever Elon & management say is fair, is a yes from me. Why? Tesla & SpaceX are valued at roughly $1.5T & $1.75T respectively. If SpaceX buys Tesla (makes sense because of Elon's dual voting class shares), maybe they do it a ~20% premium to $1.5T and make it a 50/50 merger of equals. Tesla shareholders will complain about not getting compensated for @robotaxi success, @Tesla_Optimus, etc ... But the truth is, both companies are very similar in size with parrelel upside trajectories. Additionally, they are joined at the hip with Elon leading them both and the Terafab project. Tesla is a ~$100B revenue run-rate, barely growing, valued at nearly 20X sales in this merger... extremely high for a low gross margin company. Giving $TSLA arguably ~$1T of value based on future product lines that aren't material yet SpaceX is a $25B revenue run-rate company with @Starlink already 0 to 1 poised to hit a $30-40B revenue run-rate in the next 18 months. With MUCH HIGHER profitability than Tesla's current business. That means even thought Tesla has 4X the revenue of SpaceX, it's profitability is actually equal in size. When I look at the intrinsic earnings power ($15B of operating cashflow/yr) of Tesla & SpaceX they are actually very similar. With each of them spending all their operating cash flow and more on CAPEX for future projects (including @Xai in SpaceX). Each getting a very aggressive valuation based on future growth prospects. It's almost impossible to predict how the earnings/cashflow will evolve. Especially because a lot of it depends on accounting and how the Terafab/Optimi in Space is structured. Long story short, it's very complicated, and millions of hot take articles will be written about it ... but all in all, a merger of equals, or roughly that, looks fair to me. Another kicker to consider and why I'm voting yes. I trust Elon to do right by shareholders. $TSLA is up 34,687% since it's 2010 IPO, not bad. Tesla has a management team with a track record of making crazy ambitious goals and executing. They're vision for an intergalactic future gets even grander as a combined entity with SpaceX.
