Venture capital is flowing, the functional ingredient race is heating up, celebrities are flooding the category from every angle, and legacy brands are firing back with their own challenger plays. 3 YEARS AFTER ACQUIRING HOSTESS, SMUCKER HIRES GOLDMAN FOR SALE J.M. Smucker has tapped Goldman Sachs to run a strategic review of its portfolio, with a potential sale of Hostess Brands. The review comes 2.5 years after Smucker closed its $5.6B acquisition of Hostess, after taking $1.6B+ in goodwill impairment. Hostess had ~$1.4B in revenue when Smucker acquired it in November 2023, growing at 5% YoY. Smucker paid 17.2x adjusted EBITDA, which was rich even at the time but made sense in a snacking category still riding post-pandemic momentum. The integration fell apart fast. Smucker's Sweet Baked Snacks segment, essentially just Hostess, posted an 8% sales decline in Q3 FY2025, then a 14% decline in Q4 FY2025. The company slashed SKUs by 25% and the segment margins sit around 5% vs. Smucker's overall 34% gross margin. Elliott Investment Management entered in early 2026, pushing for capital allocation discipline. Smucker settled in February, adding two Elliott-nominated directors to the board. By May, Goldman is retained and the review is underway. Comps: - Kellanova acquired by Mars for $36B at 2.7x sales and 18x EBITDA - Sovos Brands acquired by Campbell’s for $2.7B at 2.87x sales and 16x ebitda Comps suggest Hostess could be valued around $3.2B
