As the only community-led autonomous organization within the Oneness Labs ecosystem, Oneness DAO has sought clarification from Oneness Labs and gathered supporting evidence. We now present the facts we have verified to the community in order to clear up the misunderstandings and restore the truth. 1. False Statements Made by Nekcom Games In the public statement on February 13, 2025, Nekcom Games made several false claims: 1.1. False Statements Regarding Mr. Luo Xiangyu’s Identity and Position Nekcom Games stated that Mr. Luo Xiangyu is the CEO and President of Nekcom (including Nekcom Games and Nekcom USA). Fact: After reviewing the official Nekcom Games website (nekcomgames.com/team), it was found that Mr. Luo Xiangyu is the CEO of Nekcom China, while Ms. Kimmy Li is the CEO of Nekcom USA. 1.2. False Statements Regarding Mr. Luo Xiangyu’s and the Nekcom Management's Knowledge of the Collaboration Nekcom Games stated that Mr. Luo Xiangyu and Oneness Labs founder Kathy Gong "had never met" and that Mr. Luo "only heard about the Web3 business through a third party" and did not approve Nekcom’s involvement in Web3. Fact: As a board member of Nekcom Inc. (the parent company of Nekcom Games), Mr. Luo Xiangyu has been in contact with Kathy Gong since October 2024, with facilitation from Kimmy Li, CEO of Nekcom USA, and investor Galaxy Interactive, both of whom are also board members of Nekcom. All directors of Nekcom Inc. were fully aware of and consented to the involvement in Web3 business. On December 7, 2024, Nekcom Inc. officially sent a Memorandum of Understanding (MOU) to Oneness Labs regarding the collaboration. Mr. Luo Xiangyu also personally engaged in multiple communications with Oneness Labs about the partnership and community operations. There was no information barrier between the parties. 1.3. False Statements Regarding Troy Dunniway's Equity Transfer Nekcom Games stated that Troy Dunniway held only a small number of shares in Nekcom and that Nekcom management was unaware of the equity transfer and claimed the transfer was invalid. Fact: According to SEC filings, Troy Dunniway, as a co-founder, held 5% of Nekcom Inc. shares. Under U.S. securities law, shareholders holding 5% or more are considered major shareholders, and Nekcom Games’ statement about Mr. Dunniway's shareholding is a serious violation of legal standards. There were no restrictions or issues with Mr. Dunniway's shares. The equity transfer agreement between Oneness Labs and Mr. Dunniway was finalized on January 6, 2025, with full knowledge from Nekcom’s management. The transfer was legal and valid. To substantiate the facts mentioned above, Oneness DAO has obtained the following evidence: Official records from Nekcom Games' website detailing team members' positions; Communication records between Oneness Labs and Mr. Luo Xiangyu, Ms. Kimmy Li, Galaxy Interactive, and Mr. Troy Dunniway; SEC-filed Series B Preferred Stock Purchase Agreement by and among NEKCOM INC. (dated as of November 20, 2024); Equity transfer agreement between Oneness Labs and Mr. Troy Dunniway. Due to the severe damage caused by Nekcom Games' false statements to the community’s trust in Oneness Labs and Oneness DAO, we have no choice but to release a small portion of the evidence (attached below) after consulting with relevant parties, to clarify the facts. 2. Misleading Remarks on the $SHOWA Community and Others Nekcom Games criticized and stigmatized the $SHOWA community and Oneness community as being involved in illegal financial activities. Fact: The $SHOWA token was initiated by overseas gaming enthusiasts on Pump.fun and gathered a fanbase primarily made up of international gaming fans. Oneness Labs entered later and implemented a commercial model that ensured full legal compliance, with the support of professional lawyers. Since the community's formation, members have contributed significantly with vibrant and creative fan-made content based on the game's PV and storyline. These contributions have played a crucial role in promoting the game. Nekcom Games' claims are an unwarranted attack on those gaming enthusiasts and the community. 3. Oneness DAO’s Position Nekcom Games' repeated false statements have not only harmed the reputation of Oneness Labs but also caused significant harm to the members of the SHOWA community. We are shocked that a renowned global gaming company like Nekcom Games could display such a lack of integrity. We are deeply disappointed by the two official statements, which distort the facts, deceive the public, and betray business partners. The actions of Nekcom Games have undermined what could have been a mutually beneficial partnership, which is truly regrettable. Out of respect for the Showa American Story game and its intellectual property, and out of consideration for business partners, Oneness Labs has decided to refrain from further responding to the attacks from Nekcom Games, believing that this will allow both parties to focus on their original visions and objectives. However, following the incident, Oneness DAO has received significant support and encouragement from other Web3 and Web2 gaming communities. We have also heard surprising and concerning evaluations from industry professionals regarding Nekcom Games' character, integrity, and management. These revelations made us realize that the struggles encountered by the $SHOWA and Oneness communities are not isolated incidents. As a community-driven organization, Oneness DAO believes it is important to share the truth and ensure that our voice is heard. Confucian said 'Requite resentment with justice; requite kindness with kindness.' Oneness DAO respects Oneness Labs and every ecosystem partner, and we are committed to defending the rights of our community members. We will continue to work closely with the community to support the growth of Oneness Labs and explore the future of the $SHOWA community. Oneness DAO关于 $Showa代币处理方案的诉求 鉴于： $Showa代币近期由于乌龙新闻冲击和部分项目钱包被盗导致价值大幅下跌，@Oneness_Labs就该事件提出补偿计划以及回购并燃烧80%总供应量代币的计划。 Oneness DAO认为，回购是必要且负责任的提振社区信心的举措，而完全燃烧持仓虽然能够短期刺激市场，但对于资产长期发展并无益处。 因此，为维护社区利益并推动 $Showa长期发展，Oneness DAO成员经过商议，向Oneness Labs正式提出以下诉求： 1. 继续执行回购计划 Oneness Labs应当切实履行其承诺，于2024年2月21日之前，持续从市场回购 $Showa代币，直至完成总供应量80%的持仓，以增强市场信心并稳定代币价格。 2. 取消100%燃烧计划 原定对Oneness Labs所持有的80% $Showa进行100%燃烧的计划应当取消。完全燃烧持仓将导致项目方失去必要的代币资源，不利于与新IP及其他相关方面的合作，对$Showa长期发展构成不利影响。 3. 对Oneness Labs持有的80% $Showa调整分配方案进行调整 在2024年12月24日公告分配方案的基础上，对Oneness Labs持有的80% $Showa进行优化分配，以确保代币的合理流通和生态建设： （1）团队分配调整 原计划：2亿枚 $Showa，6个月锁仓期，36个月线性释放。 调整后：削减团队分配数量至1亿，削减部分用于后续市场发展计划。 锁仓期延长至12个月，以提高团队对项目长期发展的承诺。 解锁条件增加：仅当 $Showa市值达到新高（>37M）时，才可开始解锁，以确保团队利益与项目发展一致。 锁仓安排必须通过智能合约执行，并应当于2024年2月28日之前完成，以保证透明度和不可更改性。 （2）社区分配调整 原计划：1.5亿枚 $Showa，用于社区建设和激励。 该部分应当设立多签钱包，由Oneness Labs与Oneness DAO共同指派代表管理签名密钥。 （3）流动性池分配调整 原计划：1亿枚 $Showa 调整后：该部分应当维持，且流动性添加后应当进行烧毁以达到永久性锁定。 （4）Marketing 分配调整、$Showa DAO 分配调整、Oneness Labs 新增分配 原计划：5000万枚 $Showa作为Marketing 分配，1.5368218亿枚 $Showa作为 $Showa DAO分配。 调整后：鉴于与Nekcom Inc.之间目前存在的争议，如原定计划无法实现，$Showa DAO分配应当取消，转入社区分配/流动性池分配/Marketing分配。 Oneness Labs新增约1.5亿枚 $Showa，该部分应当转入Marketing分配部分。 Marketing分配部分应当视市场情况、Oneness Labs后续市场叙事、与新IP合作方案等进行重新规划，用以支付包括宣发费用、合作费用、上币费用等。Oneness Labs应当尽快向社区公布 $Showa的最新定位以及后续合作范式供社区了解。 4.对于上述代币分配，Oneness Labs应当在2月28日之前完成不限于团队内部多签钱包、智能合约、法律审计等安全性保障工作的落实 $Showa承载着社区共同的期待，燃烧全部持仓将会导致失去后续向外宣传、寻求合作等建设所必须的代币资源，不利于长期发展。 Oneness DAO成员作为Oneness Labs最为坚定的社区支持者、项目建设者、资产持有者，我们理解Oneness Labs在市场急剧变化之时希望立即给予参与者信心的举措，但无论从燃烧这一单一行为对市场的影响来看，还是从长期建设、后续发展的角度来看，燃烧80%代币的举措有弊无利。 Oneness DAO始终以社区为核心与Oneness Labs保持密切沟通，我们提出以上诉求，要求Oneness Labs重新规划 $Showa代币分配计划，重塑能够将 $Showa纳入后续整体发展的叙事，与社区携手共同进退。我们期待Oneness Labs积极回应诉求，并给出明确的后续发展方案，以促进生态的稳定和成长。 Oneness DAO

Troy Dunniway早在2018年就已经从铃空离职，仅持有铃空极少量股权。针对Oneness Labs声称其向Troy Dunniway购买股权一事，铃空管理层事先并不知情。铃空董事、高管及其他相关负责人经调查，包括查阅铃空的股本情况、历次转股情况、股权受限文件以及其他相关文件，以及咨询专业律师后，最终得出Oneness Labs声称的股权购买系无效的结论。 3. 铃空从未授权或同意Oneness Labs以铃空或《昭和米国物语》游戏的名义、品牌或资源开展任何业务。铃空特此严正要求Oneness Labs立即停止以所谓铃空合作伙伴以及《昭和米国物语》游戏的名义开展任何活动。 4. 铃空特此严正要求相关方立即停止擅自使用《昭和米国物语》游戏名称以及作品内容的侵权行为（包括不限于Twitter-X平台上的“Governor Gokou by Showa American Story”账号，该账号与铃空或《昭和米国物语》游戏无任何关系），并立即采取删除侵权内容等补救措施。铃空保留追究所有相关方法律责任的一切权利。 5. 特此再次重申，铃空以及其旗下的《昭和米国物语》游戏均与所谓“$SHOWA代币”无任何关系。铃空坚决反对并抵制利用游戏IP进行非法金融活动，特此提醒广大玩家及公众，务必保持警惕，谨慎决策。 铃空正以最大的热忱和专注投入《昭和米国物语》游戏的开发工作，资金储备充足。未来，铃空将继续秉承匠心与创新精神，融合前沿技术与艺术灵感，致力于为玩家创作更多有趣且独特的游戏作品。 感谢大家一如既往的关注与支持。未来可期，敬请期待！ 铃空游戏 2025年2月13日 Statement In response to recent rumors regarding Nekcom Games and Oneness Labs, we further declare the following: 1. The CEO and President of NEKCOM (including Nekcom Games and Nekcom US, the same hereinafter) is Mr. Luo Xiangyu. Mr. Luo has never met Kathy Gong, the founder of Oneness Labs, and only once participated in an online meeting where Kathy Gong introduced Web3 concepts through a third-party arrangement. However, Mr. Luo did not approve NEKCOM's involvement in any Web3-related business, and since then has not had any further business discussions with Oneness Labs. The management of NEKCOM, led by Mr. Luo, has neither reviewed nor approved any alleged cooperation with Oneness Labs. 2. Troy Dunniway left NEKCOM as early as 2018 and currently retains only minimal shareholding in NEKCOM. The management of NEKCOM was not informed of Oneness Labs' purported purchase of equity from Troy Dunniway prior to these claims. After thorough investigation by the management of NEKCOM, including audits of share capital, historical share transfers, share restriction agreements and other relevant documents, and legal consultations, it is confirmed that the equity transaction alleged by Oneness Labs is invalid. 3. NEKCOM has never authorized, endorsed, or otherwise agreed to allow Oneness Labs to conduct any business under the name, brand, or resources of NEKCOM or the game Showa American Story (SHOWA). NEKCOM hereby solemnly demands that Oneness Labs immediately cease all activities falsely implying partnership with NEKCOM and/or connection to the game Showa American Story (SHOWA). 4. NEKCOM demands that all relevant parties immediately cease unauthorized use of the name or content of the game Showa American Story (SHOWA). This includes, but is not limited to, the Twitter/X account "Governor Gokou by Showa American Story/@showa_sas", which has nothing to do with NEKCOM or the game. All such parties shall immediately take remedial measures, such as deleting infringing content. NEKCOM reserves all rights to pursue legal actions against all relevant parties. 5. We reiterate that NEKCOM and the game Showa American Story (SHOWA) are in no way associated with the so-called "$SHOWA token". NEKCOM firmly opposes, resists and condemns the misuse of game IP for illegal financial activities. We hereby urge all players and the public to remain vigilant and exercise caution. We remain fully dedicated to the development of the game Showa American Story (SHOWA) with utmost enthusiasm and large financial reserves. We will continue to uphold the commitment to craftsmanship and spirit of innovation, integrating cutting-edge technology with artistic inspiration to create fun and unique games for players.
