Let me try and explain what this means (for those in the back). 1. $GME pays 50% of the eBay acquisition costs in cash, and 50% in GME stock 2. The target valuation of eBay is $125 per share. This cash buyout pays existing eBay shareholders $62.5 per share DIRECTLY IN CASH and the remainder is exchanged for GME stock 2. GME increases authorized share count. This is what the company CAN issue, but are not yet issued. 3. GME needs this so they have enough shares to EXCHANGE for the rest of eBay's stock In the example above, a shareholder with 1 share of eBay received $62.5 in cash, but needs 2.5 shares of GME (valued at $25 per share) to cover the remaining 50%. New stock is not being issued and sold in the open market to cover 100% of the acquisition cost.. its exchanged 2.5 : 1 ( $GME : $EBAY )
