BREAKING: Microsoft just lost its exclusive license to OpenAI’s technology. The stock dropped 2 to 3 percent within hours. Amazon rose 1 percent on the same news. Everyone is covering the terms. Nobody is reading the architecture.
Here is what actually happened. Microsoft traded exclusivity for economics. It stops paying revenue share to OpenAI entirely. OpenAI continues paying Microsoft through 2030, same percentage, now capped. Microsoft retains a non-exclusive license through 2032, a 27% equity stake valued at $135 billion, and “primary cloud partner” status. OpenAI can now sell its products across any cloud on earth.
The consensus is that Microsoft gave up exclusivity and got a simpler deal. The consensus is wrong. Microsoft did not give up exclusivity. It sold it. And the price tells you everything about what exclusivity was actually worth.
As of January 28, 2026, OpenAI represented 45% of Microsoft’s $625 billion commercial remaining performance obligations. That is $281 billion in contracted cloud revenue sitting inside Azure’s backlog because OpenAI had nowhere else to go. The exclusivity clause was not a technology advantage. It was a chokepoint. Microsoft controlled the only passage between OpenAI’s models and OpenAI’s customers, and extracted cloud revenue as the toll.
The amendment is the lease termination notice. Sam Altman confirmed it: “Microsoft will remain our primary cloud partner, but we are now able to make our products and services available across all clouds.” That sentence ends Azure’s AI moat. Not immediately. The $250 billion compute commitment from October 2025 remains contracted. But the marginal dollar of OpenAI inference, the fastest-growing revenue stream in the history of technology, can now flow to Amazon, Google, Oracle, or any sovereign cloud on earth. You do not propose to redesign the American social contract, as OpenAI did on April 6, from a landlord’s spare room. You propose it from your own building. The amendment is the deed of ownership.
Microsoft’s response is structurally revealing. It converted a chokepoint into a toll. OpenAI pays Microsoft a capped revenue share through 2030 regardless of which cloud hosts the inference. If OpenAI runs workloads on AWS, Microsoft still collects a percentage. The exclusive lock became a universal royalty. This is not a concession. It is the recognition that controlling the passage was becoming more expensive than taxing the traffic.
This is the same mechanism that governed every chokepoint failure in April 2026. Apple’s App Store challenged by courts on two continents. Hormuz challenged by China declaring sovereign transit. Oil benchmarks decoupled from physical reality by 200 percent. A DeFi bridge forged for $292 million in phantom tokens. Every entity that extracted value by controlling passage faced structural erosion in the same month.
Microsoft saw it coming before anyone else. It did not wait for the chokepoint to be breached. It converted the chokepoint into a royalty before the breach arrived. Exclusivity was the wall. The royalty is the tax. The wall was expensive to maintain, legally vulnerable, and dependent on a single tenant’s goodwill. The tax is cheap to collect, contractually guaranteed through 2030, and payable on every dollar of OpenAI revenue regardless of which cloud earns it. Microsoft just turned AWS and Google Cloud into involuntary revenue sources.
Earnings are tomorrow. The $281 billion question is whether the market prices the wall that fell or the tax that replaced it.
