Tesla SHOULD NOT merge with SpaceXAI! The main reason given for Tesla not merging with SpaceXAI is goes something like: "Robotaxi hasn't ramped yet. Tesla stock could 5X. I'm here for the ramp. Optimus hasn't ramped either. Tesla could 10x. Let's give it a few years. I don't want to give my upside to SpaceXAI shareholders who just enjoyed a 4.4X since last summer." On its surface, this is a sound argument. I share these sentiments. Who could argue with that? I will. (I'm capable of holding two opposing thoughts in my mind at the same time). AI waits for no one First, have you seen how fast AI is moving? How durable is Tesla's Robotaxi moat? Honest answer: I believe it's strong, but we just don't know. How durable is Tesla's Optimus moat? Honest answer: I believe Tesla is extremely well positioned, but again, we just don't know. So no one has the luxury of waiting a few years to see how things play out in this space. The good news is that Elon has always been good at seeing the next steps ahead and positioning his companies well before most. Robotaxi Ramp Issues What happens to the Robotaxi ramp if Federal autonomous legislation doesn't come? What happens if Federal autonomous legislation is terrible? Or, perhaps the legislation is favorable, but think about what could happen to the Robotaxi ramp if Elon can't get enough chips to build millions Cybercabs or build tens/hundreds of millions of Optimi. Being chip constrained would materially harm the present value of Tesla if Robotaxi and Optimus can't scale beyond a certain point. Sure the cash flow pours in on the first 10 million Robotaxis, but investors would say: "We're going to give this company a low P/E because their growth is capped. They should have thought ahead and invested in semiconductor capacity. This business can't scale." What does Tesla need SpaceXAI for? 1) Capital - fresh off an IPO SpaceXAI will be flush with cash. 2) Starlink for low-cost global connectivity to cars, Semi and Optimus. 3) Grok is the interface for Robotaxi (so you can speak to the car). 4) Grok is the brain/voice of Optimus. 5) Orbital AI data centers are needed for training & inference for Robotaxi, Optimus and Digital Optimus. 6) Semiconductors from Terafab - a joint project between Tesla and SpaceX (Tesla can't self-fund this). 7) SpaceX's material science expertise. Sharing the Wealth with SpaceXAI Okay, so if Tesla isn't merged with SpaceXAI, how much will Tesla have to pay SpaceXAI for all of the above? - What portion of Robotaxi revenue goes to SpaceXAI? - What portion of Optimus revenue goes to SpaceXAI? Tesla may have to pay SpaceXAI a slice of the economics from Robotaxi and Optimus. That could mean SpaceXAI collects money every time: - a Robotaxi mile is driven, - an Optimus unit uses Grok, - a vehicle connects through Starlink, - Tesla uses orbital data centers, - or Tesla runs fleet-level inference. So Tesla shareholders may think they are avoiding dilution by rejecting a merger. But they may simply be choosing a different kind of dilution: permanent economic leakage. Instead of giving SpaceXAI shareholders ownership upfront, Tesla may end up paying SpaceXAI forever. Pick your poison carefully!

🚨HUGE UPDATE: Turns out that Chris, Paige and Deyanna Ostroushko will ALL be facing federal charges for assaulting me. It was initially reported that only 2 of the 3 would be facing charges, however, Acting AG Todd Blanche, has just announced that ALL THREE were indicted and will be facing charges. Thank you to the DOJ and FBI for doing everything they can to ensure that justice is fully served in this case. I am incredibly grateful to see our justice system at work.

Today, Christopher, Deyanna, and Paige Ostrouchko were indicted by a grand jury for allegedly assaulting journalist and Turning Point USA contributor Savannah Hernandez, while she was lawfully reporting on anti-ICE protests outside a federal building in St. Paul. Hernandez was allegedly surrounded, physically assaulted, and shoved to the ground — simply because she was identified by the defendants as a conservative journalist. That is NOT “peaceful protest.” These deplorable actions as charged in the indictment will not be tolerated in America, and this Department of Justice will always punish unhinged acts of political violence.

THEN EVERYONE ACTS SURPRISED IT ENDED BADLY New footage circulating shows Renee Good's vehicle parked diagonally across Portland Avenue, deliberately blocking the road where ICE was conducting operations. Also she appears to be dancing while doing it, not passing through. Not accidentally in the way. Positioned to obstruct. This is the footage that wasn't leading CNN's coverage. DHS says she'd been "stalking and impeding ICE all day." Local activists say she was a "legal observer" with whistles. The video shows her car stopped perpendicular to traffic flow in the middle of an active federal operation. Here's what nobody's saying: You can be right about ICE's tactics AND still be creating the exact conditions for a fatal confrontation. Both things can be true. 698 milliseconds - that's how long it took the agent to fire 3 shots after her vehicle started moving. ABC News did the frame-by-frame. Whether he was justified or it was murder depends entirely on whose lawyer you ask. But this footage shows something the "mother of 3 legal observer" narrative leaves out: she deliberately put herself between armed federal agents and their operation, then accelerated a 4,000-pound vehicle in their direction. .@elonmusk, what if we took @SpaceX public by merging it with Pershing Square SPARC Holdings, Ltd. (SPARC) a new form of acquisition company that was approved by the @SECGov. We could distribute SPARC special purpose acquisition rights (SPARs) to @Tesla shareholders so that all Tesla shareholders would have the right to invest in the SpaceX IPO, or they could choose to sell their SPARs to someone else. This would reward loyal Tesla shareholders with the opportunity to invest in SpaceX (or with cash for their SPARs), while totally democratizing the IPO process. In addition to receiving common stock in SpaceX, exercising SPAR holders would also receive Pershing Square SPARC Holdings II SPARs, which we could use to take @xai public at the time of your choosing. Pershing Square would due diligence on behalf of all shareholders and would commit $4 billion of capital to the IPO at a fixed price per share. SPARC has no underwriting fees, founder stock or shareholder warrants, and we would waive our right to receive SPARC sponsor warrants. The result would be an IPO without any underwriting fees or dilutive securities issued. @SpaceX would go public with a 100% common stock capital structure and it would not incur any transaction costs other than modest legal fees which SPARC would pay from its cash on hand. We could raise whatever amount of capital you would like by adjusting the exercise price of the SPARs. Assuming we issue 0.5 SPARs for each share of Tesla, there would be 1.723 billion SPARs outstanding including the 61.1 million SPARs that are already outstanding. Since one SPAR would be exercisable for two shares of SpaceX, the SPARs would be exercisable for 3.446 billion total SpaceX shares. So, if we set the SPAR exercise price at $11.03, SpaceX would raise $42.0 billion, $38 billion from the exercise of SPARs and $4 billion from Pershing Square, or if we set the SPAR exercise price at $42.0, SpaceX would raise $148.7 billion, $144.7 billion from the SPAR exercise and $4 billion from us. SPARC is indifferent to how much of the shares are primary versus secondary shares giving the company maximum flexibility. We could do due diligence and enter into a definitive agreement committing to the transaction within 45 days, at which point it would be certain that SpaceX would go public at a fixed valuation subject only to SEC approval of the merger proxy/registration statement. Our commitment to the transaction would not be subject to market conditions. We could start work right away and announce the transaction by mid- February. It only seems appropriate that the most innovative and efficient rocket company in the world should go public in the most innovative, efficient, and fairest-to-Tesla-shareholders manner possible.
