Most deals that fall apart don't fall apart over price. They fall apart in due diligence when a buyer uncovers something a seller did not disclose Buyers expect imperfect businesses. They don't expect to be surprised after they've already committed time and money to the process. If your business has issues, you need to communicate to your advisors (and buyer) immediately. Put them on the table early. Every business has issues. Surprises are what kill deals
