What Cohen is actually saying here - in a way that will be confusing to most ordinary investors - is that he wants eBay shareholders to buy GameStop and make him CEO. The "existing shareholders" he refers to are not, as you would expect, GameStop shareholders. They're eBay shareholders. And when he says he wants them to "roll the rest" of their shares into the combined company, he means eBay shareholders will be providing most of the equity in the company. He doesn't say that because it would be a dumb thing for eBay shareholders to do. Even the $28 billion in cash Cohen is promising them is mostly financed by debt that the new company - which, again, will be owned mostly by eBay shareholders - will have to pay back.

Synergy with PSA for the trading card/collectors market. Everything a customer wants. And everything a shareholder wants. RC is not all talk.

@JamesSurowiecki @Diputsur At its core, it comes down to this: Will Ryan Cohen as CEO make my investment in ebay become more valuable under his leadership? If answer is yes: then stay If answer is no: why? RC just revealed why ebay execs are asleep at the wheel when they could be making more $.

The task of the party that wants to do the acquisition by generating new stock is to inform the market on why this is a good deal and why in this case ebay is worth even more than the 40% premium they are paying for it. If they fail the GME holders are screwed. Investors need to believe the positive outcome.

So take out that cost and maybe turn some Gamestops into physical locations that help Ebay somehow? Dunno, but not crazy to me

That was one of the greatest displays of legacy news hit job media (CNBC) vs. new age retail pioneers (Ryan Cohen and $GME) where the old guard is so desperately trying to cling to what's left of their crumbling establishment. Cohen's indifference to Sorkin's childish repetitive questioning was an absolute mog.

Because the price that is paid for the ebay stock has a big premium in it. And if the market does not value the stock at that increased price post acquisition, the value factor they got will be lower than the dilution factor. Meaning they got diluted overall. The ebay stock owners are getting a bonus paid by the GME stock owners.

This will dilute GME shareholders, bc all share issuance does that. But how does it tell you they’re not getting enough value back?

I don’t see that here and it would not surprise me if this is just market manipulation. Which would make it a scammer’s fairy tale. But time will tell.

I was just focusing on the part many people don’t see to understand, which is that ability to issue shares is by no means whatsoever limited to 100%. That’s simply not a thing. Cash covers the premium and then some.

But the idea that I don’t have enough shares is simply false and Andrew was confused. He knows better, and had skipped his coffee.

It is not about the value of gamestop, that value is already in the current stock. The additional stock is being printed to represent the value the ebay purchase, but at a premium. The premium is okay when there are significant synergies and 1+1=3, but that is unlikely to be the case here.

Very different and unrelated You breathe in fresh air that's 21% oxygen and 0.04% CO2 Then you breathe out 16% oxygen and 5% CO2 So without outside air your room fills up with CO2 just from you breathing You know how when you put your head under the cover you slowly run out of air? That's exactly it! Almost everywhere outside is about 400ppm CO2, which is fresh air, most rooms inside I have encountered are 1000-3000! Very bad Then if you open the window wide within 15min you can get it down to 600ppm CO2 which is good What does CO2 over 1000 get you? Your IQ literally drops, your thinking decreases, you feel kinda drunk, foggy, tired etc. you're literally choking cause there's no fresh air How to fix? Open a window but then the issue with that is that outside is louder than ever. So the real fix is building a system in your house that brings in fresh air from outside (aka HVAC)
