@tZERO is enhancing its previously announced TZROP conversion proposal.
In additionto the proposed exchange of 1 TZROP for 3 Series B preferred shares, we are now proposing that TZROP holders also receive 8 shares of common stock per TZROP share, providing additional potential for participation in any long-term upside.
This enhancement reflects feedback from our investor community, further shares some of the impacts of the proposal across the capital structure and is aimed at strengthening alignment with early supporters of tZERO as we continue executing on our strategy.

The SEC's no-action letter to DTC, enabling a pilot for tokenizing securities entitlements, is a significant and welcomed step forward. tZERO has been a regulated leader in the tokenized securities market for years, pioneering the infrastructure necessary to achieve the core promise of tokenization: multi-asset interoperability, cross-border convergence, efficiency, and enhanced utility. We applaud DTC for recognizing these benefits and integrating greater mobility and programmability into centralized clearing. This move validates the foundational principles tZERO has championed since its inception—that the convergence of TradFi and DLT is inevitable. There are several tokenized securities ATSs. Some (@tZERO) are more active than others. Some (@tZERO) are built for open access for a range of products, partners and protocols. Some (@tZERO) are bundled with end to end broker dealer led primary capabilities and on chain custody. But we all built walled gardens - and are jealously guarding our assets and activity. It’s often unclear if we are kings of our castles - or prisoners inside. While we were products of our times - hostile political climate and slow adoption - that world is over. This interoperability, defragmentation and convergence will also help demand/liquidity and more tokenized assets. Siloed tokenization makes no sense. Convergence across platforms, asset types and borders in a truly interoperable 24/7 environment is key to the tokenization solution. That’s when the TAM really makes sense. Chasing discrete assets inside walled gardens one by one doesn’t work. The future lies in tearing down these walls.
