Retail and household investors must realize that when they buy stock in the market, in an issuer that has taken dilution funding, they are actually paying the lender off. Unfortunately, most dilution funding drives a stock price down, so when an investor buys the stock in the open market, it is contributing to the "death spiral" scheme that is the nature of these transactions. Additionally, the lender's brokers know in advance when that stock will be available to retire the loans, and some may enter the market and short the stock, further driving the price down. In some circles, this scheme is an acceptable practice, except when that funding agreement violated federal and state laws.
