New York is about to make a massive mistake. The NY State Senate is advancing a proposal to decouple from federal QSBS (Section 1202) — the tax provision that lets startup founders exclude gains on qualifying exits. If this passes, founders would owe 10-13% in combined state and city tax on exits that are tax-free at the federal level and in nearly every other major tech state. Even worse: it's retroactive to January 1, 2025. This comes right as the federal government just expanded QSBS benefits and New Jersey moved to full conformity. New York wants to go in the opposite direction. As a seed investor in NYC who has backed hundreds of companies, I can tell you: founders are mobile. If New York becomes one of the most punitive states for startup exits, the best founders will simply build somewhere else — and the jobs, tax revenue, and innovation will follow. NYC has built something special over the last two decades. This proposal puts it all at risk for a short-sighted revenue grab. @techsportsmark @chamath @thesudhirgautam Yeah. Jurisdiction is based on the location of the defendant. So if your office is in Miami. Then they cannot bring you to court in Tampa. Now, if you open a Tampa office, yes they can. Again, lots of caveats. But that’s the basic answer.

This is damaging to the US Economy (as well as petty and deranged). The US Economy attracts investors and capital because it has the best entrepreneurs, the best outcomes and, most importantly, a fair judiciary to implement a predictable rules that protect shareholders. So, when shareholders in a private company are asked to vote on a compensation package twice: once before the comp triggers are hit, and then vote again after the comp triggers are hit and still vote for it overwhelmingly, unless its illegal, its just judicial activism to overturn the will of these shareholders. Why would capital flock into companies in such a banana republic? It wouldn't. Investors reading about this will lose faith in Delaware and the judicial system there. If we want to maintain capital markets supremacy in the US, this should be appealed to SCOTUS where it should be overturned.

JUST IN: Delaware activist judge Kathaleen McCormick declines to reinstate Elon Musk's Tesla compensation package, once again overruling the company’s board and more than 72% of its shareholders. Instead, she ordered Tesla shareholders to pay $345 million in legal fees to attorneys representing the plaintiff, who owned just nine shares of the company. Judge McCormick previously ruled against @elonmusk during his acquisition of Twitter. Before becoming the head of the Delaware Chancery Court, McCormick worked at the Delaware law firm Young Conaway. For decades, this firm and its employees have been large donors to President Joe Biden. In 2016, Hunter Biden hosted a gubernatorial campaign event for Congressman John Carney at the offices of Young Conaway in Wilmington, Delaware. Then-Vice President Joe Biden attended as the guest speaker. Carney, a close friend of Joe Biden for over 40 years, later became governor and nominated Kathaleen McCormick, then a partner at Young Conaway, to her current position on the Delaware Chancery Court. In a March 2018 email, Hunter Biden claimed he had personal connections to every judge on the Delaware Chancery Court. He wrote, "I will bring the suit in the Chancery court in Delaware - which as you know is my home state and I am privileged to have worked with and know every judge on the chancery court." After Elon Musk purchased Twitter with the stated goal of promoting free speech, President Biden publicly called for a federal investigation into Musk. Subsequently, the Biden administration’s Department of Justice, Securities and Exchange Commission, and Federal Trade Commission launched investigations and legal actions targeting Tesla, SpaceX, and X. This latest decision by Judge McCormick, who has ties to Biden’s top donors and was nominated to the court by a close Biden ally, is another example of the Biden administration and its "Democratic" allies using the legal system to target political opponents.

@techsportsmark @chamath @thesudhirgautam Agree. TX probably best. Better judiciary than FL overall (not 100%... No knock). Great judges in TX with corporate and IP experience. FL can be a mixed bag if you end up in the MDFL or NDFL. SDFL a good court though.
