The PRA and European Commission reforms reduce investor-side costs: capital charges and disclosure burdens. They do not reduce the originator-side fixed costs that block a £60m lender from issuing at all. The reforms help platforms already above the threshold.

A pitch deck is not a business plan. It's a teaser. Get investors curious enough to want a call. First goal - get a call (if you cold e-mail them). When you use the same investor deck when pitching, your goal is to get another meeting with them.

🚨 Saudi Arabia to build a $10 billion oil refinery in Gwadar Saudi investor delegations are arriving soon, with billions more expected in Balochistan and Karachi. Saudi Arabia has also shown interest in investing in Astola Island. Astola Island, locally known as Haft Talar (Seven Hills), is often called the Maldives of Pakistan due to its crystal clear turquoise waters and white sandy beaches. It is situated in the Arabian Sea, about 39 km (24 miles) southeast of the fishing port of Pasni, Balochistan. It is Pakistan's largest offshore island, stretching about 6.7 km in length. The island features dramatic sloping cliffs on one side and pristine sandy beaches on the other. In 2017, it was declared Pakistan's first Marine Protected Area (MPA) to preserve its unique ecosystem. It is a major nesting ground for the endangered Green Turtles and Hawksbill Turtles. It also hosts various endemic species, including the Astola Viper and numerous sea birds. The waters around the island contain vibrant coral reefs and a diverse range of marine life. It is a popular spot for snorkeling, scuba diving, and deep-sea fishing because of the incredible water clarity. The island holds the ruins of an ancient Hindu temple dedicated to the Kali Mata and a small prayer area dedicated to Khwaja Khizr.

FTSE Russell has restored Nigeria to its Frontier Market category, signalling improved investor access and confidence after recent market reforms. Venture capital investors almost always ask founders a very simple question during fundraising. “Are your shares fully diluted?” Interestingly, the phrase “fully diluted capital” does not appear anywhere in the Companies Act, 2013. The law speaks only of issued share capital, subscribed share capital and paid-up share capital. These are the numbers that appear in statutory filings with the Registrar of Companies. But venture capital investors look at something different. They look at what the cap table will look like if every possible right to acquire shares is exercised. This includes ESOPs granted to employees, ESOPs reserved in the pool but not yet granted, convertible instruments such as Compulsorily Convertible Preference Shares, convertible notes, and sometimes even warrants. All of these instruments may not be shares today, but they have the potential to become shares in the future. So when an investor negotiates ownership in a startup, the percentage is almost always calculated on a fully diluted basis. This ensures that once all options are exercised and all convertible instruments convert into equity, the investor’s percentage stake still reflects the negotiated ownership. The difference can be significant. A founder may believe that the investor owns 20 percent of the company based on the current issued share capital. But once the ESOP pool is expanded and convertible securities convert into equity, that percentage could fall substantially. Which is why venture capital lawyers spend an enormous amount of time on cap table modelling before closing a deal. Because in venture capital, ownership is not calculated only on what exists today rather it is calculated on what the company can legally become tomorrow.
