$IREN Going to try to be as unbiased as I can here as a former holder.
This isn't automatically bad, but I don't love it at first glance.
The good part is the runway. Six years total, four of vesting and then a two year hold on top. For a company where the Roberts brothers basically are the identity, that locks them in. Not that I thought they were going anywhere anyway.
The problem is it's time based rather than performance based, and the size is not small. Call it around 5% dilution and something close to $1B.
For a business where the whole story is execution, handing over time based RSUs isn't the shareholder friendly choice. And you can almost feel it in the wording. The tone is defensive enough that they clearly saw the criticism coming.
So why did the committee skip the performance based route?
One read is that setting realistic targets for IREN right now is hard. The thing is being rebuilt in real time, so any number you write down risks looking far too easy or far too steep a year later.
The other read is simpler. Time based is just more generous and safer for the people receiving it. They catch the full upside no matter what, and they never have to clear a bar.
Then you set the Golden State Warriors deal next to it, reportedly north of $50M a year, and the fair question almost asks itself.
How much is IREN really putting shareholders first?

A deal between $IREN and $GOOGL is coming.
By 2030, Google is expected to have around 32 GW of data center capacity.
Roughly a quarter of that is expected to come from leased infrastructure.
Unlike $AMZN, which is expected to build most of its own capacity, Google will rely much more heavily on third-party providers.
$IREN is one of the few companies building AI infrastructure at the scale hyperscalers need.
No doubt a meaningful portion of Google’s leased capacity will come from $IREN.
All $IREN needs to take off is one major hyperscaler agreement.
That moment is coming.
The period between now and the next few announcements is the time to load the boat.
