They simply do not care. Everything you hit on is 100% true. For outsiders who have seen this story before, it’s going to take more pain. Even then I doubt there is any change. Zero corporate governance always scares big money away. They can’t afford to be wrong investing in a sloppily managed company. The money you spent on the Golden State Warriors jerseys, the absolutely crazy compensation package, the $6bln ATM for a company your size, the mixed messages and revisionist history on your earnings calls, does not appeal to institutional investors. Sure, you have a retail following and some hedge funds own or owned your stock, but you will never have blue chip long-term institutional investors owning your stock given your behavior. I realize you have the "we will prove them wrong" mentality and you are offering massive compensation packages to those who might know what they are doing, but these funds already didn't like your company and business model, and these actions just further reinforce their views. If you do not believe this, take a look at your shareholder base (Blackrock and Vanguard index funds do not count). You've blown it. You've lost credibility. And the problem is, even if you read this post, you will quickly dismiss it. This is what you need to do: 1) Force Mike Alfred off the board - he adds no value and just likes to hear himself speak (and tweet). He hurts your credibility. 2)Roberts brothers - make them co-executive chairmen and add a highly reputable, experienced, conservative CEO. 3) Cancel the $6bln ATM. The moment I saw that, it was clear you do not know what you are doing. Raise capital in strategic fundraisings, you dont file an ATM half the size of your market cap. 4) Revise the compensation package. Shares should be granted only if clearly defined metrics are met. 5) Change your business model - you are a $12bln company and reputable research reports indicate you need an additional $22bln of capital to execute on your existing plan. That is neither healthy nor attractive to an investor. 6) Once the new CEO refines your business model, please clearly articulate it to investors vs. keeping them guessing.
