how to get the 48-year-old operator to perform for <5% upside: you probably cannot. and framing it as <5% upside is exactly why the 48-year-old operator who is good enough to actually run the business is good enough to know what he is worth. he has been in the industry for 20+ years. he has relationships you need. he knows which employees are about to quit before they do. giving him 3% equity in a holdco he does not understand while a 32-year-old who has never managed a crew tells him about KPIs is not a compensation package. it is an insult wrapped in a term sheet what works instead: stop thinking about it as equity percentage and start thinking about what the operator actually values. some of these guys do not want equity at all. they want a base that is 20-30% above what they made as an owner (remember most small biz owners underpay themselves), a simple cash bonus tied to EBITDA targets they believe are achievable, and genuine operational autonomy. they want to run the business without a kid asking them to fill out a dashboard every Monday if you do want alignment through equity, the unit economics need to make sense to him in dollar terms not percentage terms. "3% of the holdco" means nothing. "your stake is worth $400K at our base case exit in 5 years and $800K if we hit plan" means something. show him the dollar amount not the cap table the real answer though: the best search fund roll-ups solve this by making the operator the seller who stays. you buy his $2M EBITDA business, he rolls 20-30% of his proceeds into the holdco, and he keeps running it. now he is not working for a 32-year-old. he is a partner who took chips off the table and has meaningful skin in the combined outcome. his 20-30% rollover at the platform level is worth more than 3% of a holdco he did not build. and psychologically he is not an employee. he is a co-owner who chose to stay that is the structure that actually works. not hiring an operator to work under you. buying a business and keeping the operator aligned through rollover equity and earnout that respects what he built

Great Q. The modern western left's relationship to cybernetics fits three buckets: 1. "what's that? robot arms?" -- by far the most common. I thought this too. Most people have simply never encountered the word outside of sci-fi. 2. "behaviourist 💥 [vine boom], technocratic 💥, positivist 💥, unmarked universalism 💥, reductionist, 💥, totalizing 💥 , scientistic, 💥, mechanistic, 💥, Cartesian, 💥 panoptical 💥, managerialist, 💥, neoliberal. 💥💥💥" — Mx. Actual Critical Theory Degree. - Honestly, this ain't wrong. The cybernetic concepts that dispersed and thrived in the US are the managerial/engineering cybernetics. Cybernetic concepts fed directly into scientific management, operations research, and the kind of systems optimization language that corporations love. 3. "this is the knowledge we need to manifest [insert preferred governance structure] or harness and steer existing structures". xenofeminists, cryptanarchists, soviet revivalists, Beer-heads, Bookchin-pilled municipalists, and so on. IMO, cybernetics naturally attracts anyone involved in serious attempts at new forms of coordination. Cybernetics is largely forgotten by everyone, not just the left - yet it was arguably the hottest trans-disciplinary scientific movement of the mid-20th century. The Macy Conferences (1945-55) brought together people from neuroscience, anthropology, mathematics, psychology, and engineering to ask foundational questions about information, feedback, and communication. It had ENORMOUS buzz for decades, and its fingers are in every little pie. Unfortunately, the field fractured. Cybernetics is more of a meta-framework like "the theory of evolution", not a domain-specific discipline like geology. The parts that were easiest to operationalize split off and became their own disciplines, like: AI, computer science, control theory, cognitive science, systems engineering. The harder philosophical questions ("what does it mean for an observer to be part of the system they're studying?") led to second-order cybernetics, which was intellectually rich but institutionally homeless. The Biological Computer Lab, the leading cybernetics research center in the US, got defunded in 1969 when the Mansfeld Amendment cut military support for research without direct weapons applications, and Heinz von Foerster refused to reframe his work to fit. No undergrad programs were ever established, and the movement lost its center. Even still, concepts born from cybernetics are everywhere: neural networks, feedback, black box, information theory, homeostasis, self-organization, even the prefix cyber- itself.
