@blcarey2000 @elialbrecht I had a deal a few years ago - as Buyside counsel - and mentioned offhand on a call that we were doing lien and judgment searches on the seller. Buyside broker said “you don’t need to - the seller told us there are no liens.”

One of the most eye-opening differences between small M&A (sub $5M in EBITDA) and larger M&A is the quality of the broker/IB. I was on a call with a broker from Stout yesterday on a larger deal, and he had such a sharp command of the issues and what matters, and was a true professional. They deal with PE every day and are every bit as sharp as the PE folks. While there are some good smaller brokers, for the most part they have rudimentary knowledge of M&A and either get in the way of the deal or remove themselves entirely (until funds flow time). I find myself explaining very basic concepts and wondering how this person is taking home 6% of the EV.

All right, I’m showing my age here. When I was a kid, we played baseball every day in the summer. Wiffle ball, tennis baseball in the cul-de-sac, whatever we could come up with. And when it rained, my buddy Steve and I played Strat-O-Matic Baseball. I couldn’t wait for the UPS man to show up with that big box of teams every year. It got me wondering—how many of you played Strat-O-Matic back in the day? Better yet, how many of you still play it today? Baseball all day outside. Baseball all night inside. Life was good.
