It was one random morning in 2012. I've been running my business for some years now. It pays the bills and has loyal customers but I know the business is nowhere near its full potential because there are so many things I want to introduce that require serious capital. I have done my research and I'm convinced that if these ideas are implemented properly,the business will become far more profitable and standout from every competitor around me . Recently, a friend approached me with an investment offer that is honestly tempting. The money she is offering is enough to completely transform the business. I won’t have to borrow from anyone or struggle to grow gradually anymore. The problem is the conditions attached to the investment. She want 60% ownership of the business while I retain just 40%. There is no exit clause or buy-back agreement. It will become a permanent joint ownership. She also wants us to change the business name completely and re-register it under a new name that we’ll both agree on. Her argument is that she is bringing in all the capital, taking the biggest financial risk and deserves majority ownership. Some of my friends and even some family members have told me I would be crazy to reject the offer because opportunities like this don’t come often. According to them, it’s better to own 40% of a very successful business than 100% of a struggling one. But another part of me feels like I’ll be giving away the very business I spent years building. What if the business eventually becomes huge? What if we start disagreeing in the future? Since there is no exit clause, I’ll be tied to this partnership permanently unless both of us agree otherwise. The thought of changing the business name also makes me feel like I’m losing the identity I’ve worked hard to build. My investor is waiting for my response, and I honestly don’t know what to do. Business owners and people with investment experience, I really need your sincere opinions.
