ONDS $50.7M. $AVEX is nearly 9x the revenue at 72% of the market cap. > Backlog. $AVEX $503M funded, converting at 96.6% into an $800M 2026 guide. $ONDS has no comparable funded backlog disclosed and raised guidance from $110M to $375M in 5 months on the back of 12 acquisitions in 9 months. > Manufacturing. $AVEX runs 10 drones per 1,000 sq ft of factory every month out of 100,000 sq ft in Tampa. $ONDS has no US drone factory. Entire drone manufacturing footprint is ~23,000 sq ft in Petah Tikva, Israel. > Customer concentration. $AVEX has $1.2B in sole-sourced Pentagon contracts, 10,000 drones delivered to Ukraine, and won the Army's Launched Effects Short Range program over Anduril. $ONDS had 93% of Q3 revenue come from one Israeli customer cohort. > Capital structure. $AVEX IPO'd 5 days ago with 112.5M shares and 79% insider lockup until October. ONDS share count went from 49M to 482M in 3 years and insiders sold $12M into the ramp. >Valuation. $AVEX trades at 4.5x forward sales on 85% growth. $ONDS trades at 28x forward on a guide backed by acquisition math. One company prints drones. The other prints shares.😂 Still can't figure out why anyone is long $ONDS when $AVEX exists.

🚨 Before May 28th, $ONDS is asking shareholders to vote on a number of key things. The most significant motion is to increase the number of authorized shares of common stock from 800,000,000 to 1,200,000,000 - a 50% increase from the current share issuance limits. 🗣️ "Dilution!?" This is NOT immediate dilution. This vote would give the board/management permission to issue more shares, but is not the issuance of those shares in and of itself. 🗣️ "Why are they doing this?" While $ONDS just recently brought their total authorized share count up from 400M to 800M, all but 63.7M shares are spoken for (just 8% left to allocate). $ONDS is still in the middle of an aggressive M&A campaign, and this vote indicates that they're not stopping anytime soon. Investors should have been able to glean this from recent earnings calls and Investor Day presentations. In order to continue making accretive acquistions of strong companies with proven technologies, $ONDS needs to be able to issue more shares, so they're asking for shareholder support to raise the current cap that's stopping them from doing this. 🗣️ "But don't they still have a ton of cash? Why do they need to finance these deals with equity?" It's a good question that I've spoken to in previous posts. Owners selling their companies to $ONDS likely see a bright future for the businesses they're handing over. Getting paid in cash might be nice in the moment, but the upside is capped. Getting paid (at least partially) in stock, means these former owners & founders can continue to have skin in the game and benefit from the growth of the company as a whole for years to come. Realistically, it's a bullish signal that they're accepting equity and not asking for all-cash deals. It tells us that they see $ONDS stock only increasing in value over time. 🗣️ "What do you think of all this?" While management can certainly issue shares to raise more cash, this seems unlikely to me. With roughly $1.4 billion sitting on the balance sheet, they have more than enough to continue operations, and scaling their recent acquisitions, for years. I think the majority of these shares will be issued almost entirely for M&A financing and strategic partnerships (as I outline above). Each future acquisition will come with a filing that states some number of shares that were issued, if any, to finance the deal - just like we've been seeing. Although I expect this will preserve the downward pressure we've seen on this stock in the short term, I believe that long term, it will enable @CeoOndas and the team to build the empire they envision. I'm not selling any shares, but I will certainly be watching closely for any new developments, as always. If anyone chooses to trim or exit their positions because of this, I wouldn't balme them. Even though Eric has made it very clear that every deal they do is accretive, dilution almost always impacts share price in the near term. Opportunity cost is real, so I get it if people think they've found somewhere better to put their money for now. Having said that, who's to say that one of the future acquisitions $ONDS makes is so game-changing that the stock goes up same-day despite dilution? We just don't know what they've got planned yet. I feel I need to re-emphasize that every deal $ONDS has done has been executed with the stated goal of being accretive to the overall business - increasing their earnings per share. Regardless of dilution, we will no doubt see revenue guidance getting revised higher and higher as these deals occur. For now, we can only wait and see. Of course, there's a chance that none of this comes to pass because the vote fails. I don't see this happening, and if it does, I see it more as just delaying the inevitable since it's what the board (and likely institutional shareholders) wants.
