THE PROBLEM WITH THE CURRENT CLARITY ACT On paper, it’s meant to give crypto regulatory clarity. In practice, parts of it may make launching in the U.S. nearly impossible for new projects. Here’s why: • Decentralization must be proven early Projects must meet strict “mature blockchain” or decentralization thresholds to avoid securities classification. But every protocol starts centralized. If you punish that early stage, you block innovation at birth. • Subjective value attribution tests Regulators must determine whether a token’s value is tied to a managerial team. That’s not an objective formula. It creates enforcement uncertainty — which chills builders and investors. • Liquidity bottlenecks If tokens can’t qualify as sufficiently decentralized, they fall into securities territory. That means heavy compliance before meaningful liquidity — slowing network growth and adoption. • Regulatory gray zones between SEC and CFTC Instead of a clean line, the bill creates layered definitions (restricted digital asset, digital commodity, mature blockchain). Ambiguity means lawyers win. Startups lose. • Ongoing disclosure burdens Even after launch, projects face continuing reporting obligations. For small teams, that’s cost-prohibitive compared to launching offshore. The result? Builders incorporate abroad. Capital flows overseas. Open-source innovation leaves the U.S. If we want America to lead in digital assets, the law must recognize one simple truth: Every network starts centralized before it becomes decentralized.
