Sometimes, when you don't participate in proxy voting, brokers may exercise their discretion to cast votes on your behalf. Every vote counts, whether you own one share or tens of thousands. Make your voices heard. It only takes a few minutes. Regarding reinstating Elon's 2018 CEO compensation plan, he upheld his end of the deal; he delivered on the targets in his 2018 compensation plan. Now, shareholders need to hold up their end of the deal and approve it again. Shareholders also need to show that we do not stand for judges to retroactively invalidate our votes. The Delaware Courts ruling is fundamentally unfair, and inconsistent with the will of the $TSLA shareholders who voted for it. The 2018 CEO pay package built in further incentives to benefit Tesla stockholders by requiring that Elon hold onto any shares he receives when he exercises his options for 5 years — which means he will continue to be driven to innovate and drive growth at Tesla because the value of his shares will depend on it.
