Retainer-only models are often preferred for simplicity, but how do you address their known weaknesses such as free-riding, reduced accountability for attendance and preparation, and limited linkage between effort and pay which per-sitting structures control more effectively?

Non-executive directors are typically paid through board fees structured as either a retainer, a sitting allowance, or a combination of both. In some organisations, directors receive a quarterly retainer only, and this is often set at a significantly higher level to compensate for the absence of sitting fees. Market data shows that many organisations still use a hybrid approach, paying both a retainer and sitting allowances. The cleaner approach is to rely on a retainer only. Paying per meeting creates the wrong incentive. It can encourage more meetings than necessary, or at least remove the discipline to keep meetings focused and efficient. A well set retainer, on the other hand, pays directors for their overall contribution, not for the number of times they sit in a boardroom. Where organisations adopt a retainer-only model, the key is to make it competitive. If the retainer is too low, directors will expect sitting allowances or will disengage. Beyond board fees, non-executive directors should not receive additional payments. The only exception is reimbursement of legitimate expenses incurred in the course of their duties. In other jurisdictions directors also get equity but rare in Zimbabwe. @ipcconsultants

One simple way to check whether a role is correctly graded at F or E Band on the Paterson system is to look at what the person actually does day to day. If the person in the role is hands-on, doing the work themselves, then the role is below F or E. If you see them dealing with operational issues, handling papers on their desk, or moving around the plant or operations to fix day-to-day problems, that role is nowhere near F or E. These roles should be focused on making directional, high-level decisions and approving plans that help the organization win. @ipcconsultants

BFS injects N$669m into Namibia’s mining and quarrying sector Business Financial Solutions Fund Manager (BFS Fund Manager), through the Namibia Procurement Funds I and II, has injected N$669 million into Namibia’s mining and quarrying sector by the end of 2025. BFS Chief Executive Officer Theopolina Kapani-Emvula said the fund deployed N$20 million into the sector in 2024, followed by a further N$76.3 million in 2025, signalling renewed momentum in the industry “By the end of the 2025 calendar year, BFS Fund Manager had contributed N$669 million to Namibia’s mining and quarrying sector through NamPro Fund I and II.
