Our SaaS just crossed $13,500 in the last month! This is how this came to be: After dropping out one year ago from our CS degree in Spain and having created 3 failed projects in 8 months, my cofounder @PabloSantanaT and I, started working on a new SaaS, RankInPublic. We tried to ship it as quick as possible, we did it in single 16 hour sprint, from idea to MVP. At the time the situation with my family wasn't very good, my parentsrecently divorced and, I was starting to get pressured into going back to university, to finish a degree to work at a 9-5 for the rest of my life... I really felt like a loser. But then one day I saw two posts, one by @levelsio talking about how if he were broke again he would move to Vietnam and lock in, and another by @tdinh_me talking about how they were building the @HackerResidency in Da Nang (Vietnam). This seemed like the perfect opportunity. I took my life time savings, $4k, and I booked a one way ticket and a hotel for $190 a month in Da Nang, Vietnam. Once there I had the chance to meet a lot of incredible people, people that taught us a lot, people who inspired us to push to higher limits. One day, after two months of working on RankInPublic we got our first payment. Someone wanted to sponsor the tournament!!! That day was one of the happiest days of my life :) Since then we have been working hard on RankInPublic, every single day. And now, after 7 months in, and after a few weeks of stagnation and questioning if everything was over, suddenly we started making $1k+ per day. We didn't change a single line of code, but we discovered how to market the product. We had set a goal of $10k a month for our SaaS, and now after achieving the goal in less than two weeks, we are doubling down and setting a new goal, $100k a month. I don't know how much time it will take us, but I know we will achieve it.

This is really important. And so many forget about this. If you are an international owner of a US LLC and you forget to file a pro forma 1120 plus form 5472 by April 15, you could face penalties of $25K. It takes very little effort to file an extension if necessary.

have a US entity with non US founders? don’t ignore these filings: > form 1120: US corporate tax return (due April 15) > form 5472 : if 25%+ foreign ownership + related-party transactions (due April 15) even if you are pre revenue, raised funds or just holding money in a wallet, filings still apply

@hieudinh_ And they don’t include federal tax filings either, this can get pricey if you get a CPA. I made 5472Direct.com to make foreign owned LLC compliance easier and more affordable. Might be useful for next year when you need to file

Just got off a call with two 🇮🇳 India-based ecom founders selling to the UK + AU. $5M/yr in revenue, $200k/mo in ad spend, operating through a tangle of Hong Kong and UK entities. Sounds impressive on paper. Reality? They were bleeding from every angle. Shopify Payments shut them down on their UK entity. Mastercard fines hit. Their Hong Kong setup is now holding payments, actively tanking revenue. And the whole time, $200k/month in ad spend is flowing through Mercury, a basic bank account with zero rewards. Not a single point earned. Not a dollar of cash back captured. Just raw spend, evaporating. One founder is also still trapped in the Indian tax system, watching the April deadline creep closer. Here's the full rebuild: 🔥 Step one is abandoning the Hong Kong complexity entirely and activating their dormant US LLCs immediately. This unlocks real US banking rails, stops the payment processing bleeding, and gives us a clean foundation to build from. 卧槽,太讽刺了呀,去年注册的美国公司,Stripe这个账号上就有299美金,我特拉华州的每年税务得缴纳300美金,这特么还得凑1美金提现到水星银行支付税费去~~ 而且Stripe Atlas还得扣我100美金的公司代理地址费用。 呵,忙活了一年不仅白干,还倒贴~~~出海真不是容易得呀

不止是这个哦!你这个只做了州层面的,另外还需要报联邦层面IRS所得税!有美国销售收入 的话,还需要申报Form 5472 + Pro Forma Form 1120,其中LLC类型公司不能独立报税,必须穿透合并到个人申报,也就是必须有ITIN或SSN才可以顺利完成联邦所得税申报! Crop类型公司可以独立申报联邦所得税,但是联邦层面的公司所得税21%税率,利润分红再次预扣缴中美协定10%就不可节省了!

Form 5472 penalties are unnecessarily unfair to foreign founders. They spin up a DE C Corp, inject $5,000 capital, not generate taxable income, file late because ya know, they don't know US taxes and no tax is due, and STILL get slapped with a $25K penalty. Can we fix this?

@augustofiscal @FredrikHjelm4 yes it's not possible to prove IRS-side rendering. What it does provide is timestamped proof that the filing was successfully transmitted to the IRS fax line. Our angle is making the filing + receipt + recordkeeping clean in one workflow.

Is the US actually that business friendly? I set up a Delaware topco last year. Swedish OpCo underneath. The public sentiment then was "America is incredible for business, Europe is a nightmare." Here's the honest take: The start was great: Incorporation was fast and painless. We didn't even provide ID or passports, which felt almost too easy. No real background check? Mercury gave us a bank account almost instantly. Shoutout @immad. In Sweden that can take weeks for KYC reasons Then things got weird: To register shares for the founding team, we had to send physical UPS letters to a Texas IRS office and wait for them to come back stamped. In Sweden you do this online in two minutes We got our EIN number, but needed the original sent by mail or fax for banking purposes. Mail. Or fax As foreigners, we couldn't even use the IRS online application at all And when the online system IS available, it has restricted hours. A website. With opening hours Then the US government went into shutdown. Everything froze. 40 day wait. Banking put on hold Accounting is a similar story. The US feels 20 years behind Sweden, where everything is online and accessible via BankID All of this drives huge professional services spend Lawyers and accountants just to navigate bureaucracy that shouldn't exist The US wins 0 to 1. Fast, frictionless, incredible private infrastructure But Sweden wins on steady state. More digitized public services, lower compliance overhead, less nonsense. I love America, but "America is so business friendly" is half true. Depends which half of building a company you're talking about
