Recurring, predictable, low churn. If revenue is all over the place, everything feels harder. Defensibility is a big one too. Not buzzword stuff, just real advantages. Proprietary data, being embedded in someone’s workflow, strong distribution, or relationships you can’t easily replace. Operator fit is where people get it wrong. A deal can look great on paper and still be a bad fit. You want something you understand and can improve, not just something that looks impressive. And then there’s the transition. Clean docs, clear systems, a handoff that doesn’t feel all over the place. This part gets ignored until it’s too late. None of this is really extra. It’s basically the deal itself.
