@LeylaKuni Maybe mention upfront that it’s a PC CLO - tiny tiny market compared to BSL CLOs. AAA tranches in BSL have never defaulted. PC CLOs still untested though to your point - will be interesting to see how they perform.

This is middle market CLO structure based on par sub of Triple A tranches. Really hard to lose money at Triple A level. For equity right now they’ve been marked down but still paying out excess cash flows. Any CLO equity investor in 08/09 knows that it hurt at the time but best return came immediately after especially rates were cut and libor floor arbitrage supercharged returns. This was for BSL CLOs since MM wasn’t prevalent at the time.

@danzar1985 @NickNemo17 This is not correct. CLO mgmt fees are typically three fold: senior (1/3 to 1/2), junior (2/3 to 1/2) and then a back pay / Euro style incentive that doesn't often hit anymore. The senior doesn't turn off ever. The junior rarely does. Combined 40-50bps

To be clear: 1/3 of $CCLFX sits in PIVs run by a third party. Nobody, not me, not you, not the anon PC accounts, can say the exact fee load on that sleeve. I am asking for TRANSPARENCY. What I can tell you: it’s fees on fees on fees. It’s gates on gates. CLO equity marked at par (someone tell me what CLO equity actually clears at right now??). And PIVs reported at NET exposure, not gross — so that 1.3x leverage headline (~$47B/$32.5B) is NOT the whole story. Don’t tell me I can’t scrutinize the third with layered fees because the other two thirds doesn’t have them. That’s not a defense. That’s a deflection. I want every loan, every allocation. The PIV black box is exactly why I can’t get there. If you want to justify that structure, I’m here. But “the rest of the portfolio is fine” isn’t the conversation I’m asking for. Why is it so offending that I would like to discuss the marks and fees being pushed to retail?

@wobblhash @HayekAndKeynes That said, you have a melting ice cube problem for CLO equity during real default cycles, especially if PIK this cycle pressures IC tests. Long story short - CLOs and equity will be fine as an asset class, but not all names will be (ECC? Oxford Lane?)

Key distinction that most people miss. Software equity multiples compressing 40% does not mean the underlying debt is impaired. Most of these companies still generate enough cash flow to service senior obligations. The CLO equity pain is real but it is a mark to market problem not a fundamental credit deterioration story. BDCs with lower leverage have even more cushion. If spreads widen another 50bps from here that is probably the entry point of the cycle.

Quick update on credit markets… Saas-pocalypse has spread to credit markets too (though in a much more modest way). The most acute pain has been felt in CLO equity (similar pain in BDC’s as well despite having much less leverage). I agree with the blog post below from @UrbanKaoboy that suggests that a lot of this pain is overdone on the debt side (as it relates to software risk). There is a big difference in equity multiples re-rating lower and defaulting on a three year bond and assuming no recovery. Credit risk and equity risk are very different here. For what it’s worth, I think we probably still go lower given how tight spreads are, but this should present a good buying opportunity soon, assuming Iran doesn’t derail the cycle (not my base case as impacts will be short term). CLO structures have limited MTM risks though (CCC migration is really it (linked to but directly MTM risk)); no forced sales, no EODs, worst thing that happens as the loans drop in MTM price is it can cut off your reinvestment and stop opportunistic / offensive activity.

This has been bugging me for a week: The screenshot below is from OBDC II's 8-K announcing the sale of the loan portfolio. The sale was partial: they took 96 loans, and sold 59% of those loans (with the implication that the remaining 41% stays on the books) QUESTION: are they the same tranche??? In other words, did they sell pro rata exposure, or did they sell one layer and keep another? ABF experts, please opine.
