There is almost no education surrounding M&A and transactional work in law schools (it would be a dream of mine to build and teach an M&A practicum in schools), so a lot of times new attorneys have asked me how I learn about M&A in the beginning. Here is what I usually recommend: 1. When you are just beginning, ask to see a closing binder from a recently closed transaction. This will help you learn what documents you will be drafting and what the substance of each document is. M&A has its own language. What the hell is a rep? You need a resolution, okay? Looking at a finished deal is great way to get your bearings 2. Look up M&A Masterclass, hosted by @SMB_Attorney and @KHendersonCo which provides an excellent primer to both the legal and business aspects of an M&A transaction. 3. Listen to @acquanon hosted by @thegeneralmills @girdley @BillDA and @EndresenHeather which discusses different businesses for sale and it’s a great podcast to hear what makes a good (or bad) business to buy and it’s helpful to hear what people are looking for on the business rather than on the legal side Since I have been recommending these three things, I have one addition which is to subscribe or at least read @Eli_Albrecht M&A Mondays-which lays out different approaches and explanations to the facets of an M&A transaction. Any other seasoned transactional attorneys or business people out there that have recommendations for how to learn about M&A laws when you start out? (Cause I’m surely not seasoned and this is just what I did)

@CeciliaZin @RobertFreundLaw Ah, I figured it out! That overhaul relates not to Boeing, but to GE Aviation. And I wasn't the one who did it; instead, I critiqued an article by the GC of a GE Aviation business that mentioned that they had boiled down different versions of a contract down to 5 pages. 1/2

"Can we make this contract a lot shorter? People are scared to sign it because it's so long." Then don't work with those people. If it matters enough to have a written agreement, then it should matter enough to take the time to read 10 pages.
