I understand a lot of people are nervous, so let me give you all a step by step on how to understand this thing. Disclaimer: I am not a lawyer, and this is not legal advice nor financial advice. The information provided here is simply a step-by-step guide based on my understanding of this form. Name of Debtor and Case Number Name of Debtor: Enter the full legal name of the company: Meta Materials Inc. Case Number: 24-50792 2. Name and Address of Holder of the Equity Interest Name and Address: This refers to YOU. This is where you enter your full name (or entity name, if you bought the shares under a company), address, and telephone number. Checkboxes: First checkbox: If you are aware that someone else has filed a proof of interest related to YOUR SHARES, check this box. Second checkbox: If you haven’t received any notices from the bankruptcy court, check this box. Third checkbox: If your address differs from what your broker has on file, or Meta might have in their records, check this box. Account/Certificate Number: Enter your brokerage account number. If you have physical certificates, enter the certificate numbers. Claim Change: Replace or Amend Claim: Check this box if you are replacing a previously filed proof of interest or amending one that you messed up on. 3. Name and Address of Any Person or Entity That is the Record Holder If the shares are held in another name (a broker or trustee), enter the name and address of that entity. If you personally held the stock certificates, you can enter your own information, or leave this blank. 4. Total Amount of Member Interest Simple. Enter the total number of shares you owned. 5. Certificate Number(s) If you have stock certificates, enter the certificate numbers. If not, leave it blank and breathe. It's ok! 6. Type of Equity Interest Check the first box if your equity interest is based on shares you owned. For most of us it will be this box. Check the second box if your interest is based on anything else (options... warrants...etc.). Give a description of the interest if applicable. Most of us won't need to do this. 7. Supporting Documents Attach supporting documents like stock certificates, option agreements, or other evidence of your share ownership. You can send screenshots of your account statements too. Do not send original documents though. Send copies. 8. Date-Stamped Copy If you want to receive confirmation that your form was filed, include a self-addressed stamped envelope. 9. Signature Most of us have to check the "I am the creditor" box. You are the creditor, Meta is the debtor. Signature and Date: Sign and date the form. Contact Information: Provide your printed name, company (again only if applicable), address, and contact information. Be aware that providing false information may lead to fines or imprisonment. Don't do anything stupid. Once completed and you've had a chance to have your attorney or even your CPA review to make sure it's right, file the form with the bankruptcy court. Make sure to keep a copy for your records and make sure that you submit it according to the court's instructions. Filling out a form like this can be nerve wracking, but don’t worry!
