MW claims loans are sold “days before the charge-off threshold” to hide losses that then inflate fair-value gains. Reality: SOFI explicitly discloses this exact practice in every filing/earnings release. Without those late-stage delinquent sales, the all-in rate was ~4.2–4.4% in recent quarters (not 6.1%). Actual reported rate fell to 2.80% in Q4 2025 (full-year ~2.86%), with average borrower FICO 746 and cumulative losses well below their 7–8% underwriting tolerance. MW’s 6.1% is their own extra cherry-picked math, not hidden fraud. 2. Student loan business “exists primarily to generate FV gains for management bonuses” using a discount rate 27 bps below the 10-yr Treasury (implying “negative risk premium”). Dramatic language, but the actual weighted-average discount rate in the 10-K is 3.89% for student loans — totally within standard fair-value modeling (audited Level 3 inputs that also include a tiny 0.68% default assumption). These are prime/super-prime refi loans with strong prepay behavior. The business has real strategic value (record $1.9B originations in Q4 alone). Calling it a bonus gimmick is pure hyperbole; auditors and the market have accepted this for years. 3. “Secured Loan” business is really seller-financed whole loan sales that “fail all three criteria for sale recognition under ASC 860”. MW throws around technical accounting jargon and implies it’s not a true sale. SOFI’s 10-K shows whole-loan sales (including secured) treated as sales under ASC 860, with gains/losses recognized, servicing retained in some cases, and Big 4 auditors signing off quarter after quarter. No restatements, no SEC comments, successful securitizations of the volume. This is a classic short-seller “I disagree with management’s interpretation” nitpick NOT a red flag. 4. Loan Platform Business (LPB) is “disguised borrowing booked as fee income, structurally analogous to Enron’s VIEs” with “$312M of apparently unrecorded debt”. 🤡 This funny as hell! lol.😂 The “Enron-esque” scare word is peak bear theater. LPB generated $576M in real fee revenue in 2025 from $11B originated for third-party partners — transparent, disclosed forward-flow deals. VIEs and securitizations are footnoted in detail (some consolidated, some not, per GAAP rules). The $312M “unrecorded debt” is MW’s subjective reclassification; SOFI’s balance sheet, cash flows, and auditors show no such material misstatement. Zero evidence of hidden leverage. Where would it be? 🤡 5. After their adjustments, 2025 Adj EBITDA drops ~90% from $1.054B guidance to just $103M — “management gets paid for diluting you”. The nuclear haircut is pure stacking of their own aggressive assumptions (inflated marks, “off-BS debt,” capitalized expenses). Actual 2025 Adj EBITDA hit ~$1.05B (31% margin). The company just guided 2026 to $1.6B. Dilution/stock comp? Standard for a high-growth fintech scaling a bank charter and adding millions of members/products. Capital raises happened at premium valuations to fund real expansion, NIT some treadmill scam. 🤡 Bottom line: The whole “financial engineering treadmill” thesis is interpretive accounting nitpicks dressed up as fraud. Everything MW flags is disclosed in SOFI’s 10-K/10-Qs, audited, and delivering record revenue (> $1B/quarter), member growth, and actual profitability. Short reports like this often sound scary until the company rebuts (which is coming) and the stock recovers. These 5 claims are comical to me.
