Delaware's corporate franchise tax generates ~$2.1B annually. Large filers pay a max of $250k/year. Since the 2024 Tesla pay package ruling by Chancellor McCormick (Tornetta v. Musk), a handful of companies like Tesla, Dell, Coinbase, and Dillard's have reincorporated to Texas or Nevada over concerns about Chancery Court predictability. Direct annual tax loss from these moves is likely just a few million dollars at most so far. Broader reputational effects on new formations are the bigger ongoing story.
