@abdushodmonov @iamshackelford It’s most likely the tax shield they will get from the step-up in tax basis, not accumulated losses. Assuming this was structured as an asset or 338h10 sale, it could easily account for $200-300m based on the EV

@iiiitsandrea @KivaDickinson @eliweisss It’s the tax benefit. You can still take a step-up on a c-corp if it’s structured as an asset deal vs stock (or 338h10 election).
Buyers prefer asset deal structures for the tax benefit while sellers prefer stock to avoid double taxation. There are a lot of nuisances.

What’s this $300m of tax benefit getting talked about in the PepsiCo / Poppi acquisition?
Is the deal being done at $1.65B or $1.95B?
When you acquire an LLC, you get to “Step Up” the basis of the target company’s assets to account for the difference between what you pay for the company and the balance sheet assets (book value)
In situations like Poppi where a lot of what PepsiCo is buying is “Brand”, that Step Up can be quite large (often a majority of the value of the company)
The acquirer can then amortize the value of the Step Up over time, the same way they depreciate a capital asset they invest in
That amortization reduces their earnings before tax, thereby reducing their tax bill for years
These future tax savings can then be discounted to reflect a “Present Value”
Presumably then, PepsiCo is saying they would have paid $1.65B if Poppi was a C-Corp but instead was willing to pay an extra $300M for tax savings they will realize over time
I have no inside information but I assume this is what’s happening

ive spoken to 10+ individuals that sold for 9figs
none of them talk rev multiple
everyone talks ebitda multiple.
lets take a simple example:
- you do 2.5m /mo
- your net is 10% that's 3m EBITDA
you'll get 250m for 3m EBITDA?
it would take me 80 years to pay off my investment.
what am i missing?
i understand you have high return customer rate and 30% of your orders is subscriptions.
it could also be your brand...
but i cant figure out how would that pay me off my investment.
