Last week, a friend of mine came to me with a tricky problem statement regarding his company. They’ve raised ≤ $500K (i.e. ~ ₹4 crore) from VCs about 3 years ago. Somewhere in this journey, they realized blitzscaling wasn’t for them - but, they’ve build a good cashflow business - steady growth & profitable. ➡️Here’s the problem statement: (1) They’ve already spent a sizeable chunk of the investor money (say ~50%) from the early days of chasing growth (2) Investor-Founders aren’t aligned - Investors want to push for growth OR return of capital via strategic exit - Founders want to grow the business sustainably (3) Right now, neither strategic exit nor business profits are sufficient to pay back investors. - And, rate of growth isn’t sufficient to bring in follow-on investors at a higher price. 💡Raising debt is also not an option because debt investors shy away from instances where funds are used for share buybacks versus biz growth (e.g. working capital) What to do now? ➡️The founder is considering three options: (a) Negotiate a discount with investors & return (part of ) capital to investors; take complete ownership of the business (b) Borrow/ask friends & family to buy out investors (very risky) (c) Shut down (emotional / painful) ☹️There isn’t a “small exit” opportunity here i.e. a specialist Private Equity buyer who can come in - buy everyone out & operate the company for its cashflows. Mainly because this deal size would be too small. Now, in the India, depending on the type of business - there are many “small exit” opportunities for such companies: in food (Rebel Foods & Eatfit) and in fashion (Mensa Brands).. 🧠But, maybe, India needs a special type of investment vehicle which can buy out such Tech enabled businesses & run them for perpetuity (very similar to how Tiny, Constellation Software or Roper Technology etc operate in the West)
