$HUM.AX a couple of updates w/ EGM one week away. 1) Both proxy advisors, ISS and Glass Lewis, have backflipped on a number of recommendations - to support us - since Takeovers Panel findings were released. Glass Lewis now recommends FOR vote on resolutions 1-4, that is, adding Raper/Sladden to BoD and removing Abercrombie and Hines. This is a massive backflip and highly unusual for proxy advisors....

$HUM.ax - New piece on the activist situation @puppyeh1 is leading. I think we are slightly odds on to win, getting a better up/down gain/loss split due to the recent sell off. I also believe that there are many aspects to the situation which lend to a better break price then many think. I am long.

Conversely, do shares sold after 19 Feb that voted still count?
Or is it the obvious, that holders that voted and sold after this date no longer count?

A few factors:
-Uncertainty often kills microcaps more than objective bad news/valuation. Now the path forward is less clear to many, especially since Jeremy is not commenting publicly (he can’t). When an original strong thesis gets jumbled, it makes some holders exit, without there being new demand bc there’s no clear new thesis.
- Shares purchased after feb 19th can’t be voted, as the date of record remains unchanged. Presumably only those who believe in change would be buyers lately, and presumably they would already have taken a full position before feb 19th. So in terms of the vote it’s “wasted” buying new shares now, and with the added uncertainty a strong bid would only emerge around mid 60s, imo.
- The volume is not very large all things considered. So it’s just a few people selling, but above 70c very little bid. Makes sense to me.
-Just general fatigue tends to occur in such situations.
-Substantial retail contingent follows Jeremy and some don’t understand the situation well enough to evaluate new information without guidance from Jeremy, and may just be exiting blindly.
- Although overall I think the TOP order is positive news, it is strategically bad that AA now has seen the fully merged proxy directions while Jeremy hasn’t.
If I didn’t already have a pretty big position i would say it’s a steal at 66c. While it’s hard to say for sure Jeremy will win exactly as planned, it’s much easier to be sure that the status quo won’t be making a comeback from here - reasonable downside protection with 2x upside.

Ann. signals $HUM.AX heading in the right direction, but resignation as Chair is not enough. Remove AA from the board, no directorship executive or non-executive.
Clean out the board.

1. The meeting date - (enter here)

I first entered $HUM.AX Humm Group at 44c when big holder Tanarra was dumping its holding
Simply too cheap relative to NTA and earnings
And since then Jeremy has come on board as a major holder looking to unlock the inherent value in this business

As you prob know, I own ~29mm shs here (~$20mm AUD); and have (along w/ CSAM) called an EGM to effect Board Renewal, that will be held on Feb 19, 2025. (valuation, etc - 50+% upside imo if we win) 2) The status quo (incumbent Board) and what it offers 3) What I/new Board offers + event/arbitrage set-up NB you should only look at this if you intend to vote in the EGM. Since the Bondi Massacre, the Prime Minister has sought to recall parliament early to pass rushed hate speech legislation, as well as establish a national gun buyback scheme.
I have written to the Prime Minister seeking his support to overturn his government's censure motion that caused my seven (7) sitting day ban from the senate.
My ban from the parliament was triggered because of my warnings against radical Islam and the Jew hatred fuelled by this government.
I will keep you posted on his response.
