I got my first term sheet last year right after ETH Denver. I’m sure this happened to many founders this year too. Before you commit to an investor, consider this: - Cash is a commodity. Every fund has it. What really matters is what comes with the money. Is it strategic value you are looking for? Can the investor open doors for you that otherwise you have no access to? The right investor brings more than money. They should be a 10x multiplier in your team. - They DD you, so you should DD them. Your first-tier partners are your founders. Your second-tier partners are your investors. You're about to enter a multi-year relationship. Talk to other founders they’ve backed, especially those that they backed last cycle. - How do they behave in a bear market? This is an important one that a lot of founders miss. There are tons of funds in crypto that appear close to the bull market and disappear close to the bear market. You don't want to have a partner that leaves you right in the middle of the journey. - Terms matter more than valuation. A lot of founders try to optimise the valuation. I understand this instinct, as higher valuation helps you down the road with many factors of the company such as hiring. There are a lot of VCs, however, that give bad terms with high valuations. You don't want this to hurt the protocol down the line. - Raise enough, but not too much. We saw this with a lot of companies that raised in 2021-2022. There are still companies in crypto that have raised 100MM+ that have no product or PMF. Overcapitalisation kills discipline. Under-raising kills optionality. There is a sweet spot. - Are they in it for the right reasons? Some VCs want to help build something lasting. Others just want a quick cash. If they push you to launch a token too early or force a narrative pivot to chase trends, be cautious. The best investors think in years, not months.
