I urge you to read this distilled note from @RosannaInvests on $ASTS latest offering, as I couldn’t have said it better myself. If you hear “dilution” and automatically think bad, you’re simply showing your inexperience as an investor.

$ASTS fell ~16% AH on the word “dilution.” The market read the headline. Almost nobody read the structure. There are two kinds of dilution. One funds the burn: shares sold at the low because the company has no choice. The other buys the bottleneck: long-dated capital that attacks the one constraint holding the thesis back. Today was the second kind, and the term sheet says so five different ways. → $1B convertible due 2034. Seven and a half year money. Not one share sold at $56. → Converts at a premium to be set at pricing. Dilution only happens meaningfully higher. → Management is spending part of the proceeds on capped calls, real cash whose only job is pushing the effective dilution price higher still. Companies that don’t care about shareholders skip that line item. → Settlement at the company’s election: cash, shares, or mix. If the thesis works, they can pay 2034 in dollars, not paper. → Institutions asked to eat $1B of unsecured ASTS credit. They said yes. And the key is the use of proceeds: securing additional access to orbit and cutting reliance on third-party launch. Their launch provider is also their direct competitor. And it’s about to IPO. You do not want your supply chain owned by the company you’re disrupting. This is $1B of independence. Why the ugly tape anyway? Convert buyers short the stock on announcement to hedge. That flow is mechanical, indifferent, and temporary. Flows, not verdict. Read term sheets, not headlines. Yes, bad timing today. Long 🟠 $ASTS

@ChairmansLedger This is only true if you don’t rebalance as the position naturally deleverages. If you rebalance along the way, say at every 10% drop, to maintain portfolio weight, you get around 7x on initial size on a 90% drop

My take on shorting: I generally dislike the ethos of actively shorting a company. Especially coming from someone who has built one. There should be a market for all participants, investors, traders, employees etc, to share in the upside of a business that works. Betting directly against that has never felt like my game. The asymmetry is inverted too. Best case you make 100%. Worst case is theoretically unlimited. Shorting oil or silver on the other hand? Fair game.

@ren_stocks You say look at Rivian, but why not look at Tesla instead? I don’t think anyone’s going all in here, and so think it’s fine to get your foot in the door just in case this massive hype lasts long enough for the business to catch up. I wouldn’t mind cheaper shares either though

Everyone is about to make the same mistake on SpaceX. The most hyped IPO of the decade is coming, and retail will treat day one like the entry. It is the exit, at least for a while. Look at what actually happened to the last five hyped IPOs. Robinhood dropped 92% from its IPO. Coinbase 93%. Rivian 95%. Uber 70%. The hype was priced in before retail ever clicked buy. Day-one buyers held the bag for one to two years. Think of an IPO like a party that peaks the moment you walk in. The valuation already assumes the best version of the story. There is nowhere to go but down until the business catches up to the price. Then the real money showed up at the bottom, when nobody wanted these names. Robinhood is now ~22x off its low. Uber ~7.4x off its low. It pays to be patient, especially when there is so much hype around these names. Plus, this only works if the business delivers. Sometimes they don't. Look at Rivian for instance. It trades at ~0.2x its IPO price four years later. I don't think this will be the case for SpaceX, but it's best to know all the possible outcomes. I am not chasing the open. If SpaceX is the business everyone believes, there will be a better price on a macro bad tape. I'll own this name, but not on day 1. It pays to be first, but it pays more to be in the right place at the right time. Thanks @moninvestor for making this so clear.

This chart is why I'm staying away from the SpaceX IPO. Five of the most hyped IPOs of the last 15 years, and every single one collapsed after listing. - UBER lost 70% of its IPO price. - META crashed 77% from its peak. - Robin Hood fell 92%. - Coinbase fell 93%. - Rivian fell 95%. The hype is always priced in on day one. The people who bought the hype got crushed. But look at where the real money was made. At the bottom, when nobody wanted these stocks. Robinhood went up 22x from its low. Meta went up 45x. Uber 7x. Patience beat hype in every single case and Rivian reminds us that even patience doesn't save every company. SpaceX will be the most hyped IPO of the decade. History tells me I don't need to be there on day one. If it's a great business, there will be a better price later. There almost always is. First they fall. Then they fly.

I would also like to add calling the bottom in Bitcoin is not only attributable to “cycles” like it has in the past even though it seems that way Now it became an institutional product with these Bitcoin ETFs today, Bitcoin is heavily exposed to the Yen Carry Trade and it’s currently unwinding driving risk assets like Bitcoin to be sold off for Yen to pay back the loans US investors took in Yen which only strengthens the Yen further and causing a snowball effect Add in the fact Japan is raising rates and selling US treasuries for Yen is also making this snowball effect come quicker Everyone talking about what the Black Swan could be, in my opinion it’s the Yen Carry Trade unwind and it’s going to happen in a blink of an eye You wonder how the US stock market gained in so much value over the past 3 years? It’s the Yen Carry Trade + AI Hype, a very very dangerous combination (essentially borrow cheap capital and buy overpriced AI companies) Can’t wait to repost this when the WSJ headline reads, “What is the Yen Carry Trade and Why Did It Cause The Market To Puke”

A lot of people are asking how I landed on $42K to $47K as my target for this cycle’s $BTC low and thought I’d share it publicly Bitcoin has always went below its average buy price (Realized Price - Market Price) / Realized Price) each bear market Here’s the data from previous cycles: - 2011 to 2012 cycle: dropped 61% below the average buy price - 2014 to 2015 cycle: dropped 45% below - 2018 to 2019 cycle: dropped 30% below - 2022: dropped around 24–30% below As you can see, from cycle-to-cycle the drop is lower and lower If you assume the following drops from average buy price this cycle, you will see the following: - 10% drop = $47.4K - 15% drop = $44.8K - 20% drop = $42.1K - 25% drop = $39.5K - 30% drop = $36.9K Assuming it only goes 10% to 20% below is how I got my figures But here’s the thing, people have experienced a few cycles and now understand more how Bitcoin has historically behaved so this all may get front runned Also since Bitcoin became significantly more institutional - it’s been trading along the stock market on red days so if you also think the stock market will correct until the midterm elections like it historically has, then we may see the scenario above play out (at least getting to the realized buy price) Buying here at $60K is also not a bad idea to start a DCA as a hedge I’m personally starting a DCA here of 2% of my capital per week and expecting we range in the $60K’s for 16-20 weeks before the next move up or down GLHF remember the goal is to get close to the bottom not try and time it exactly Last point - I don’t think “the low” happens in Q4, most likely from June to September (end of Q2 or Q3) ✌️

$abvx moved earnings from Monday to tomorrow.. they’re in quiet period…. I suppose it took them till 1 working day before to realise that Monday is Memorial Day ? Why not Tuesday? I have a feeling we either get data Tuesday or $vrtx x $apln esque buyout + data. BP will probably only want to get out that topline met , data to be presented at medical conference. Pure speculation! Don’t bet on it.

I absolutely hate the dog culture in the US. My neighbors have all started this asinine idea of "off-leash dogs." Their dogs aren't even well trained. Your dog is not a human and no one should trust it.
