We just killed a deal after WEEKS of 2AM nights conducting due diligence.
It’s been in our CRM for 3+ years and checked a ton of boxes for us:
- Vertical SaaS
- High recurring revenues
- Competing with legacy providers
So why’d we kill it?
Well, the drawback of investing in bootstrapped (SaaS) businesses is that often times they can be quite “messy”.
Welcome to due diligence!
- Unaudited financials
- Scattered customer data
- Arbitrary budgeting
Imagine piecing together a puzzle with different sets jumbled together.
That’s what this felt like.
And we ultimately uncovered a lot of “hair” upon stitching together their data.
- Yo-yo gross/net retention metrics
- Ton of project-based revenue masked as ARR
- 100% outsourced development to Macedonia
Ultimately, we could not get comfortable enough with the hair to proceed…hundreds of iterations on Excel/PPT analyses and legal docs later.
But I’ll sleep well at night knowing we didn’t make this investment.
Why?
It would’ve been FAR more costly to sink $100m+ into a bad deal than to move on and accept our time spent as a sunk cost.
Lesson in there.
