2) The SAFE investor has “unbounded” upside if the startup outperforms and raises the next equity round at a much higher valuation. If the next equity round is below the cap, SAFE holder gets full benefit of lower valuation (+ discount if applicable).

1) Beware the late stage SAFE. A SAFE at a very high cap + discount essentially works like preferred equity with full ratchet anti-dilution protection *and* senior liquidation preference.
